Ontario Purchaser definition
Ontario Purchaser means a Purchaser who is resident in the Province of Ontario, Canada or is otherwise subject to the Ontario Securities Laws.

The Sellers hereby grant to Ontario Purchaser, for a period of one (1) year from the date hereof, an irrevocable option (the "Option") to purchase substantially all of the assets of CDSC in accordance with the terms of the Canadian Drawn Steel Asset Purchase Agreement substantially in the form annexed as Exhibit N hereto (the "Canadian Steel Asset Purchase Agreement").
The exercise price of the Option shall be the "Purchase Price" as defined in the Canadian Steel Asset Purchase Agreement; to wit, the total sum of (i) Ten Canadian Dollars in cash, and (ii) the assumption by Ontario Purchaser of certain liabilities of CDSC, all upon the terms and conditions set forth in the Canadian Steel Asset Purchase Agreement.
