To facilitate Seller’s efforts to obtain financing to construct and operate the Project, Buyer shall provide such consents to assignments, certifications, estoppels, representations, information, and other documents as may be reasonably requested by Seller, a Project Lender, or a Tax Equity Investor in connection with the financing of the Project.
If there are determined to be deliverability Network Upgrade costs on the CAISO Grid as an affected system of the Native Balancing Authority as a result of this Project, Buyer can request that Seller elect to fund or elect not to fund all deliverability Network Upgrades.

Prior to the issuance of a Certificate of Occupancy for the Project, Buyer shall not place or allow to be placed on the Site, or any portion thereof, any Encumbrance unless it first obtains the written consent of City (which consent shall not to be unreasonably withheld, conditioned or delayed).
If any physical conditions on any Real Property would be reasonably likely to materially and adversely impair Buyer’s use and enjoyment of such Real Property for the Project, Buyer will notify Seller of such determination.
