Examples of OpCo GP in a sentence
The sale and issuance of the Sponsor Units to the Partnership, the General Partner Interest to the General Partner, the OpCo GP Interest to OpCo GP and the OpCo LP Interests to the Partnership and Columbia Hardy are exempt from the registration requirements of the Securities Act and securities laws of any state having jurisdiction with respect thereto, and none of the Partnership Entities has taken or will take any action that would cause the loss of such exemption.
WPT shall contribute, assign, transfer, convey and deliver a 5.76% limited partner interest (on a fully diluted basis, after giving effect to the transaction contemplated by Section 2.5) in OpCo and a 100% membership interest in OpCo GP (together the “Reserves Contribution”) to the Partnership, and the Partnership hereby accepts such interests.
