Optioned Interest definition

Optioned Interest shall have the meaning set forth in Section 7.8(a).

Examples of Optioned Interest in a sentence

• Subject to the fulfillment in full of Section 6 of this Agreement by Party C, Party B shall transfer the Equity Interest Purchase Price and any other proceeds obtained by Party B from such transfer of the Optioned Interest to Party A or the Designee at nil consideration immediately after receiving the Equity Interest Purchase Price and such proceeds for the transfer of the Optioned Interest.

• Unless an appraisal is required by the laws of China applicable to the Equity Interest Purchase Option when exercised by Party A, the total purchase price for the purchase by Party A of all Optioned Interest held by Party B upon exercise of the Equity Interest Purchase Option by Party A shall be the lowest price as permitted by the applicable PRC laws at the time of the transfer of the Optioned Interest.

• After Party A and/or its Designee obtain all approvals, registrations or filings relating to the Optioned Interests and all ownership documents relating to the Optioned Interests to the satisfaction of Party A and/or its Designee, Party A and/or its Designee shall pay the Equity Interest Purchase Price in cash to Party B who transfers the Optioned Interest.

• Without prior written consent of Party A, Party B shall not in whole or in part sell, offer to sell, transfer, gift, pledge or dispose of the Optioned Interest in any other manner, and shall not authorize others to purchase in whole or in part the Optioned Interest; Party C shall also not in whole or in part sell, offer to sell, transfer, gift, pledge or dispose of in any other manner the Optioned Assets, and shall not authorize others to purchase in whole or in part the Optioned Assets.

• Upon exercise of the Exclusive Option by Party A, with respect to the Optioned Interest, the purchase price shall be the minimum price permitted by the PRC Laws; and with respect to the Optioned Assets, the purchase price shall be the net book value of the Optioned Assets, but in the event that the minimum price then permitted by the PRC Laws is higher than the net book value of the Optioned Assets, the purchase price shall be the minimum price then permitted by the PRC Laws.

More Definitions of Optioned Interest

Optioned Interest means all of the Optionor’s direct and indirect right, title and interest in and to all lithium bearing pegmatite dxxxx contained in, on or under the Property (collectively the “Lithium Dxxxx”) and including, without limitation, all related commercial pegmatite minerals (“Pegmatite Minerals”) contained or occurring within or immediately adjacent to or contiguous with any of the Lithium Dxxxx. For greater clarity the Optioned Interest shall not and does not include any interest in and to any minerals not contained or within or immediately adjacent to or contiguous with the Lithium Dxxxx including, without limiting, gold and other precious metals or minerals or ore containing same, base metals or minerals or ore containing same, diamonds, garnets, amphiboles and talc in or on the Property (collectively the “Non-Pegmatite Minerals”) and the Optionee either before or upon exercising the Option shall not directly or indirectly acquire any right, title or interest in the Non-Pegmatite Minerals in or about the Property;
