Orthodontic Entity and Orthodontist Expenses definition

Orthodontic Entity and Orthodontist Expenses means all operating and non-operating expenses of Apple or AOI with respect to the Orthodontic Entity for services requested by the Orthodontic Entity or Orthodontist and all operating and non-operating expenses of the Orthodontic Entity and Orthodontist incurred by the Orthodontic Entity or Orthodontist in the operation of the Orthodontic Entity or the practice of orthodontics by Orthodontist, including, without limitation:

  • Except for the expenses attributable to the distribution of professional fee income among Orthodontist or the shareholders of the Orthodontic Entity which will be included in Excluded Orthodontic Entity and Orthodontist Expenses, the costs incurred in connection with the foregoing matters shall be Orthodontic Entity and Orthodontist Expenses.

  • Any principle or interest paid to Apple by the Orthodontic Entity pursuant to Sections 6.3(a) or 6.3(b) are Excluded Orthodontic Entity and Orthodontist Expenses.

  • Apple shall assist the Orthodontic Entity in fulfilling its obligations to its patients to maintain a high quality of orthodontic and professional services and any expenses incurred by Apple related to such in connection therewith shall be included in Orthodontic Entity and Orthodontist Expenses.

  • All costs, expenses and liabilities incurred by Orthodontic Entity, Orthodontist or Apple in excess of the limits of such policies shall be included in Excluded Orthodontic Entity and Orthodontist Expenses.

  • All malpractice premiums and deductibles related thereto that are paid by Apple shall be included in Orthodontic Entity and Orthodontist Expenses.

  • The costs of continuing liability insurance coverage shall be included in Orthodontic Entity and Orthodontist Expenses unless such cost is borne by Orthodontist or the Orthodontic Entity Professional Employee.

  • Subject to the provisions of SECTION 1.1(r)(ii) hereof, the costs and expenses of third-party consultants engaged by Apple to provide such services shall be Orthodontic Entity and Orthodontist Expenses.

  • All other costs of local advertising programs on behalf of the Orthodontic Entity will be included in Orthodontic Entity and Orthodontist Expenses, including, but not limited to, out-of-pocket costs incurred by Apple.

  • In accordance with the terms hereof, Apple shall provide or arrange for the services set forth in this ARTICLE , and the costs, fees, expenses and other disbursements incurred by Apple in connection therewith shall be included in Orthodontic Entity and Orthodontist Expenses, except to the extent such costs, fees or expenses are Apple Expenses or Excluded Orthodontic Entity and Orthodontist Expenses.

  • Medical Expenses means those expenses that an Insured Person has necessarily and actually incurred for medical treatment on account of Illness or Accident on the advice of a Medical Practitioner, as long as these are no more than would have been payable if the Insured Person had not been insured and no more than other hospitals or doctors in the same locality would have charged for the same medical treatment.

  • Medical Expense means an expense incurred at the time a past member or his or her health reimbursement account dependent is furnished the medical care or service. To be considered a medical expense under this act, the expense shall meet all of the following conditions:

  • Health care expenses means, for purposes of Section 14, expenses of health maintenance organizations associated with the delivery of health care services, which expenses are analogous to incurred losses of insurers.

  • Nurse-midwife means a registered nurse who has graduated from a program of study designed to prepare registered nurses for advanced practice as nurse-midwives.

  • Women Business Enterprise (WBE) as used in this policy means a business enterprise that meets all of the following criteria:

  • Dependent Care Expenses means employment-related expenses incurred on behalf of a person who meets the requirements to be a "Qualifying Individual," as defined in the first bulleted item below. All of the following conditions must be met for such expenses to qualify as Dependent Care Expenses that are eligible for reimbursement:

  • Medical personnel means those persons assigned, by a Party to the conflict, exclusively to the medical purposes enumerated under subparagraph (e) or to the administration of medical units or to the operation or administration of medical transports. Such assignments may be either permanent or temporary. The term includes:

  • long-term insurance business means the business of providing or undertaking to provide policy benefits under long-term policies, but does not include -

  • medical food means a food that is intended for the dietary treatment of a disease or condition for which nutritional requirements are established by medical evaluation and is formulated to be consumed or administered enterally under the direction of a Practitioner.

  • Health Care Operations shall have the meaning given to such term under the HIPAA 2 Privacy Rule in 45 CFR § 164.501.

  • Medical equipment means equipment used in a patient care environment to support patient treatment and diagnosis.

  • Skilled Nursing Care means services requiring the skill, training or supervision of licensed nursing personnel.

  • life insurance business means the business of providing or undertaking to provide policy benefits under life policies;

  • Primary care physician or “PCP” means a Plan Provider who has an independent contractor agreement with HPN to assume responsibility for arranging and coordinating the delivery of Covered Services to Members. A Primary Care Physician’s agreement with HPN may terminate. In the event that a Member’s Primary Care Physician’s agreement terminates, the Member will be required to select another Primary Care Physician.

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians. Only businesses certified by the State of Ohio Equal Opportunity Division in accordance with Section 123.151 of the Ohio Revised Code shall be recognized as being MBE certified within the purpose of this invitation.

  • Clinic means a facility that provides hemodialysis or peritoneal dialysis services to patients suffering from kidney disease.
