Other Deliverables definition

Other Deliverables means all Deliverables other than Products or Product Documentation Deliverables.
Other Deliverables shall refer to any other specifications, design documents, flow charts, software programs, documentation, reports and other materials that have not been developed specifically for Client but have been identified in an SOW and provided by Accenture to Client pursuant to such SOW. Unless otherwise provided for in the applicable SOW, and subject to any restrictions of any third-party materials and Section 5.4 below, (a) Client (and its Affiliates) will have a perpetual, irrevocable, worldwide, royalty free, non-transferable (except as otherwise provided herein or in the applicable SOW), non-exclusive, paid-up right and license to use, maintain, copy, modify, enhance and prepare derivative works of the Other Deliverables, and (b) Client’s rights in the Other Deliverables will be strictly for purposes of Client’s (and its Affiliates’) internal business purposes only. Client may allow Client Third Party Vendors as an authorized user under Client’s license to use the Other Deliverables to the extent that such Client Third Party Vendors are under an obligation of confidentiality with Client at least as restrictive as the terms set forth herein, such use is in accordance with the license restrictions contained herein and solely for the purpose of such Client Third Party Vendors’ providing Services to Client or Client Affiliates. All other rights (including all other intellectual and industrial property rights) in the Other Deliverables will remain with or are hereby assigned to Accenture.
Other Deliverables means those tangible ------------------------ (including without limitation hard copy and electronic forms), viewable items (other than Software) that are developed and delivered by EDS under this Agreement and the applicable Authorization Letter, and paid for by STK. Examples of Other Deliverables are assessments, reports, manuals, charts, checklists, system design or site layouts, flow charts and other documentation. Unless there are specific express fees to be paid for particular Other Deliverables pursuant to an Authorization Letter, the payment by STK of the monthly EDS charges shall be deemed payment for the Other Deliverables. To the extent the payment of such monthly EDS charges constitutes only partial payment for the Other Deliverables or if there are specific express fees to be paid for Other Deliverables under an Authorization Letter and STK has only partially paid such fees, STK shall be entitled to receive the pro rata portion of the Other Deliverables represented by such partial payment.

More Definitions of Other Deliverables

Other Deliverables means those tangible, viewable items other than Software that are developed and delivered by EDS under this Agreement, and paid for by SK.
Other Deliverables. The other deliverables were included in the system installation and are covered under this or another Software License Agreement.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Calling Name Delivery Service (CNDS) means a service that enables a terminating End User to identify the calling Party by a displayed name before a call is answered. The calling Party’s name is retrieved from a calling name database and delivered to the End User’s premise between the first and second ring for display on compatible End User premises equipment.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Service delivery area means the defined geographic area for delivery of program services.
