Examples of Outparcel Release in a sentence

  • Any payment of the Waikoloa Outparcel Release Price or Hawaiian Village Taran Outparcel Release Price pursuant to this Section 2.5.5(b) shall be deemed a voluntary prepayment for all purposes hereunder and the requirements of Section 2.4 hereof shall be satisfied, including, without limitation the applicable Prepayment Premium, if any.

  • Application of Payments Method and Place of Payment Taxes Outparcel Release.

  • If Borrower seeks the release of the Hawaiian Village Taran Outparcel, Borrower may obtain the release of such parcel upon satisfaction of each of the requirements set forth in this Section 2.5.5 and by paying to Lender the Hawaiian Village Taran Outparcel Release Price such prepayment shall be deemed a voluntary prepayment for all purposes hereunder and the requirements of Section 2.4 hereof shall be satisfied, including, without limitation the applicable Prepayment Premium, if any.

  • If Borrower seeks the release of the Waikoloa Outparcel, Borrower may obtain the release of such parcel upon satisfaction of each of the requirements set forth in this Section 2.5.5 and by paying to Lender the Waikoloa Outparcel Release Price.

  • From and after the date of any Outparcel Release, such Outparcel shall be deemed to be a Previously-Owned Property for all purposes under the Loan Documents.

  • Borrower shall pay or reimburse Lender for such costs and expenses upon Lender’s demand regardless of whether a Site Removal or Outparcel Release occurs or is permitted to occur.

  • Borrower agrees to pay all of Lender's reasonable, out-of-pocket expenses incurred in connection with reviewing and documenting such Outparcel Release (including, without limitation, the costs of obtaining Rating Confirmations if required by Lender), which amounts must be paid by Borrower whether or not the proposed Outparcel Release is approved or executed.

  • This Security Instrument shall continue as a Lien and security interest on the portion of the Property not included in an Outparcel Release (or any prior Outparcel Releases).

  • Accidental release means an unanticipated emission of a regulated substance or other extremely hazardous substance into the ambient air from a stationary source.

  • Landlord Waiver means a letter in form and substance reasonably acceptable to the Administrative Agent and executed by a landlord in respect of Inventory of a Loan Party located at any leased premises of a Loan Party pursuant to which such landlord, among other things, waives or subordinates on terms and conditions reasonably acceptable to the Administrative Agent any Lien such landlord may have in respect of such Inventory.

With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:
