References to a Person are also to its permitted successors and assigns. It is the intent of the parties hereto that this Agreement shall be an effectuation of certain terms of the Investment Agreement consistent with such terms of the Investment Agreement and that the provisions of this Agreement should be interpreted to give effect to the Investment Agreement.
