Parametric Common Stock definition

Parametric Common Stock means the Common Stock, $0.001 par value per share, of Parametric.
Parametric Common Stock shall have the meaning set forth in the Separation Agreement.

  • LRAD shall instruct the Agent to electronically distribute the appropriate number of such shares of Parametric Common Stock to each such holder or designated transferee or transferees of such holder.

  • In the event a holder of LRAD Common Stock would otherwise be entitled to a fractional share of Parametric Common Stock, the number of shares of Parametric Common Stock such holder of LRAD Common Stock will receive in the Distribution will be rounded up to the nearest whole number of shares of Parametric Common Stock.

  • All of the shares of Parametric Common Stock to be issued in the Merger will be, when issued in accordance with this Agreement, duly authorized, validly issued, fully paid and nonassessable.

  • Parametric shall use its best efforts to cause the shares of Parametric Common Stock to be issued in the Merger to be approved for quotation on the Nasdaq National Market, subject to official notice of issuance if applicable prior to the Effective Time.

  • Parametric agrees to file a registration statement on Form S-8 for the shares of Parametric Common Stock issuable with respect to the assumed Computervision Stock Options no later than ten (10) business days after the Closing Date and shall keep such registration statement effective for so long as any such Options remain outstanding.

  • All outstanding shares of Parametric Common Stock are duly authorized, validly issued, and fully paid and non-assessable and are not subject to preemptive rights created by statute, the Articles of Organization or Bylaws of Parametric or any agreement or document to which Parametric is a party or by which it is bound.

  • Subject to applicable law, following surrender of any such Certificate, there shall be paid to the record holder thereof certificates representing whole shares of Parametric Common Stock issued in exchange therefor, without interest, along with the amount of dividends or other distributions with a record date after the Effective Time payable with respect to such whole shares of Parametric Common Stock and cash in lieu of any fractional shares in accordance with Section 1.6(f).

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Borrower Common Stock means the common stock of the Borrower.

  • Company Common Stock means the common stock, par value $0.01 per share, of the Company.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.

  • Parent Common Shares means the common shares of beneficial interest, $0.01 par value per share, of Parent.

  • Voting Common Stock means the voting common stock, par value $0.01 per share, of the Company.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Underlying Common Stock means the Common Stock into which the Notes are convertible or issued upon any such conversion.
