Parametric Common Stock definition

Parametric Common Stock means the Common Stock, $0.001 par value per share, of Parametric.
Parametric Common Stock shall have the meaning set forth in the Separation Agreement.

  • LRAD shall instruct the Agent to electronically distribute the appropriate number of such shares of Parametric Common Stock to each such holder or designated transferee or transferees of such holder.

  • If any warrants to purchase shares of capital stock of LRAD that are outstanding on the Distribution Date are exercised following the Distribution Date, then Parametric will issue to the holder of such warrants such number of shares of Parametric Common Stock as is required by the applicable warrant.

  • Parametric will use its commercially reasonable efforts to take such steps as may be necessary to comply with the securities and blue sky laws of all jurisdictions which are applicable to the issuance of Parametric Common Stock pursuant hereto.

  • All outstanding shares of Parametric Common Stock are duly authorized, validly issued, and fully paid and non-assessable and are not subject to preemptive rights created by statute, the Articles of Organization or Bylaws of Parametric or any agreement or document to which Parametric is a party or by which it is bound.

  • Subject to applicable law, following surrender of any such Certificate, there shall be paid to the record holder thereof certificates representing whole shares of Parametric Common Stock issued in exchange therefor, without interest, along with the amount of dividends or other distributions with a record date after the Effective Time payable with respect to such whole shares of Parametric Common Stock and cash in lieu of any fractional shares in accordance with Section 1.6(f).

  • All of the shares of Parametric Common Stock to be issued in the Merger will be, when issued in accordance with this Agreement, duly authorized, validly issued, fully paid and nonassessable.

  • The shares of Parametric Common Stock issuable to -------------- stockholders of Computervision pursuant to this Agreement and such other shares required to be reserved for issuance in connection with the Merger shall have been authorized for quotation on the Nasdaq National Market.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Company Common Stock means the common stock, par value $0.01 per share, of the Company.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.
