Parent Regulatory Termination Fee definition

Parent Regulatory Termination Fee means an amount in cash equal to $164,000,000.

Parent Regulatory Termination Fee means an amount in cash equal to $136,000,000; provided that, only if (a) the Parent Regulatory Termination Fee is due and payable pursuant to Section 8.3(b)(ii)(A) or Section 8.3(b)(ii)(B), and a Parent Restructuring Entity is in material breach of Section 6.6, or (b) the Parent Regulatory Termination Fee is due and payable pursuant to Section 8.3(b)(ii)(C), then the Parent Regulatory Termination Fee shall be increased to an amount in cash equal to $272,000,000.

Parent Regulatory Termination Fee has the meaning set forth in ‎Section 10.03(a)(iii).

Examples of Parent Regulatory Termination Fee in a sentence

• In no event shall Parent be required to pay (I) the Parent Termination Fee on more than one occasion or (II) both the Parent Termination Fee and the Parent Regulatory Termination Fee.

• Parent shall pay the Parent Regulatory Termination Fee to the Company (to an account designated in writing by the Company) prior to or concurrently with such termination of this Agreement by Parent or no later than three (3) Business Days after the date of the applicable termination by the Company.

• For the avoidance of doubt, only one of the Parent Termination Fee or the Parent Regulatory Termination Fee shall be payable and such fee shall be payable only once and not in duplication even though the Parent Termination Fee or the Parent Regulatory Termination Fee may be payable under one or more provisions hereof.

• If this Agreement is terminated in circumstances where both the Parent Termination Fee would be payable pursuant to Section 11.04(b)(iii) and the Parent Regulatory Termination Fee would be payable pursuant to Section 11.04(b)(iv), then the Parent Termination Fee shall be deemed not to be payable and only the Parent Regulatory Termination Fee shall be payable.

• The parties agree and understand that (i) in no event shall the Company be required to pay the Termination Fee on more than one occasion and (ii) in no event shall Parent be required to pay both the Parent Termination Fee and the Parent Regulatory Fee or pay either the Parent Termination Fee or the Parent Regulatory Termination Fee on more than one occasion.

• Notwithstanding anything herein to the contrary, if the Parent Financing Termination Fee and the Parent Regulatory Termination Fee both are payable, in each case, in accordance with Section 8.3(b), the higher of the Parent Regulatory Termination Fee and the Parent Financing Termination Fee shall be payable.
