For the avoidance of doubt, any mandatory Substitution, purchase or repurchase of any Loan by the Seller pursuant to Section 7.2 hereof and the sale of any Loan or any Equity Security at the discretion of the Loan Manager on behalf of the Borrower to the Seller pursuant to the Loan Agreement reflecting arms length market terms and subject to the OFS Parent Valuation Procedure will not constitute a Substitution or sale subject to the Repurchase and Substitution Limit.
In such event, the Client waives the protections of the Workers’ Compensation Act.
Executive may, at his option, elect to dispute any Parent Valuation Notice by delivering written notice thereof (an “Executive Dispute Notice”) to Parent within twenty-one (21) business days of the date of transmission of such Parent Valuation Notice; provided, that any Executive Dispute Notice must include Executive’s determination of Fair Market Value.

The Exchange Ratio, the Company Common Stock Per Share Price and the Parent Valuation are subject to adjustment pursuant to Section 1.14.
