Parent Valuation definition

Parent Valuation means (i) if Parent Net Cash is greater than $240,000,000, the sum of (x) the Parent Equity Value plus (y) the amount by which, up to $15,000,000, Parent Net Cash exceeds $240,000,000, (ii) if Parent Net Cash is equal to $240,000,000, the Parent Equity Value, or (iii) if Parent Net Cash is less than $240,000,000, the sum of (x) the Parent Equity Value, minus (y) the amount by which $240,000,000 exceeds Parent Net Cash.

Parent Valuation means (i) the Parent Equity Value plus (ii) the Parent Net Cash Amount (if any).

Parent Valuation means, subject to any adjustments pursuant to Section 4.2(b)(ii) or Section 5.22(f), $60,000,000, a component of which is Parent Cash.

Examples of Parent Valuation in a sentence

• If Executive does not timely deliver an Executive Dispute Notice in compliance with the provisions of this Section 21(b), then the applicable Parent Valuation Notice shall be final and binding.

Parent Valuation means $15,000,000 less, or plus if a negative number, the difference between $5,000,000 and the Parent Net Cash including the Tellenger Amount (if applicable); provided, however, Parent Net Cash will be deemed equal to $0 to the extent the Minimum Parent Net Cash Amount is negative.
