Base Valuation definition

Base Valuation means US$200,000,000 plus the Closing Consideration Stock.

  • The Company agrees to enter into an assessment agreement (the “Assessment Agreement”), pursuant to Section 403.6 of the Code of Iowa fixing the minimum assessed valuation of the Property, in contemplation of the Base Valuation plus the value to be added by the proposed Project, at not less than Eighteen Million Dollars ($18,000,000) (the “Minimum Assessed Valuation”) as of January 1, 2014 (the “First Valuation Date”).


More Definitions of Base Valuation

Base Valuation means the assessed value of the Land and any existing improvements before the completion of any Improvements.

Base Valuation means an amount specified by the Committee with respect to each Service Provider Unit and set forth in the applicable Award Agreement in accordance with the LLC Agreement.
