Pari Passu Liabilities definition

Pari Passu Liabilities means the Pari Passu Debt Liabilities and the Pari Passu Hedging Liabilities.
Pari Passu Liabilities means the liabilities owed by the relevant debtors to the Secured Parties (under the relevant debt documents).
Pari Passu Liabilities means the liabilities owed by the Debtors to the Pari Passu Creditors under or in connection with the relevant Debt Documents.

  • If any Disposal Proceeds are required to be applied in mandatory prepayment of the Pari Passu Liabilities then those Disposal Proceeds shall be applied pro rata across the Pari Passu Liabilities unless the Instructing Group otherwise agrees in writing and the consent of any other Party shall not be required for that application.

More Definitions of Pari Passu Liabilities

Pari Passu Liabilities means the Liabilities owed by the Debtors:
Pari Passu Liabilities means the Liabilities owed by the Senior Secured Notes Issuer and the Debtors to the Pari Passu Creditors under the Pari Passu Debt Documents, together with any related Additional Liabilities (but excluding any Hedging Liabilities).
Pari Passu Liabilities means the Liabilities as defined under the Pari Passu Credit Agreement.
Pari Passu Liabilities means any Pari Passu Hedging Liabilities or the Pari Passu Debt Liabilities.
Pari Passu Liabilities has the meaning set forth in Section 12.1(a).
Pari Passu Liabilities means the Pari Passu Debt Liabilities, the Pari Passu Cash Management Facility Liabilities and the Pari Passu Hedging Liabilities.

Related to Pari Passu Liabilities

  • Hedge Liabilities shall have the meaning provided in the definition of “Lender-Provided Interest Rate Hedge”.

  • Subordinated Liabilities means liabilities subordinated to Borrower’s obligations to Lender in a manner acceptable to Lender in its sole discretion.

  • Senior Liabilities means the Senior Lender Liabilities and the Hedging Liabilities.

  • Pari Passu Indebtedness means any Indebtedness of the Issuers or any Guarantor that ranks pari passu in right of payment with the Notes or such Guarantor’s Subsidiary Guarantees, as applicable.

  • Pro Rata and Pari Passu Basis means with respect to the Notes and the Note Holders, the allocation of any particular payment, collection, cost, expense, liability or other amount between such Notes or such Note Holders, as the case may be, without any priority of any such Note or any such Note Holder over another such Note or Note Holder, as the case may be, and in any event such that each Note or Note Holder, as the case may be, is allocated its respective Percentage Interest of such particular payment, collection, cost, expense, liability or other amount.

  • Environmental Liabilities means all liabilities, monetary obligations, losses, damages, costs and expenses (including all reasonable fees, disbursements and expenses of counsel, experts, or consultants, and costs of investigation and feasibility studies), fines, penalties, sanctions, and interest incurred as a result of any claim or demand, or Remedial Action required, by any Governmental Authority or any third party, and which relate to any Environmental Action.
