  • If an Offeree does not exercise his, her or its right of first refusal, the Offered Units that could otherwise be allocated to such non-exercising Offeree shall be allocated to each Participating Offeree on a pro rata basis based on the number of Common Units then owned by such Participating Offeree (calculated on a Fully Diluted Basis).

  • Each Participating Offeree desiring to accept the offer contained in the Participation Notice shall accept such offer by delivering a written notice of such acceptance to the Issuer within ten (10) Business Days after the receipt of the Participation Notice specifying the amount of Subject Securities (not to exceed such Participating Offeree’s Participation Portion) which such Participation Offeree desires to be issued (each a “Participating Buyer”).
