Participation Securities definition

Participation Securities means the number of Covered Securities proposed to be sold by the Company or any of its Subsidiaries.

Participation Securities shall have the meaning as set forth in Section 2.5(a).

Participation Securities has the meaning set forth in Section 4.9(a).

Examples of Participation Securities in a sentence

Such notice (the "Participation Notice") shall set forth the terms and conditions of such proposed Transfer, including the name of the prospective transferee, the number of Common Stock Equivalents proposed to be transferred (the "Participation Securities") by the Initiating Stockholder, the purchase price per share proposed to be paid therefor and the payment terms and type of Transfer to be effectuated.
The amount of Participation Securities to be sold by any Initiating Stockholder shall be reduced to the extent necessary to provide for such sales of Subject Securities by Participating Offerees.
The amount of Participation Securities to be sold by the Transferor shall be reduced to the extent necessary to provide for such sales of Shares by Participating Offerees.
The Exercising Stockholders shall be entitled to purchase in the Post-Closing Issuance a number of Participation Securities equal to the lesser of (A) the maximum number of Participation Securities such Exercising Stockholder has elected to purchase in the Post-Closing Issuance in its, his or her irrevocable written notice of acceptance and (B) such Exercising Stockholder’s Participation Portion.
Following delivery by the Company of a Participation Notice, the Company shall provide such additional information as the Majority Onex Shareholders may reasonably request in order to evaluate the proposed purchase of the Participation Securities.

Participation Securities shall have the meaning set forth in Section 2.4(a).

Participation Securities means any capital stock or other security of the Company or any of its Subsidiaries that is at any time and under any circumstances directly or indirectly convertible into, exercisable or exchangeable for, or which otherwise entitles the Holder thereof to acquire, any capital stock or other equity security of the Company (including, without limitation, Common Stock) or any of its Subsidiaries.

Participation Securities has the meaning set forth in Section 10(a).

Participation Securities means (i) the Series B Preferred Stock and Series B-1 Preferred Stock of the Company purchased by the Investors pursuant to the Purchase Agreement (such securities referred to herein as the “Initial Securities”), (ii) any other securities, including Series D Preferred Stock and Common Stock of the Company, into which any of the Initial Securities are converted, exchanged or exercised, and (iii) any security or other property which is paid as a dividend on or otherwise paid in respect of the securities referred to in the foregoing clauses (i) or (ii).

Participation Securities shall have the meaning set forth in Section 3.2(a)(i) .

Participation Securities has the meaning given thereto in Section 4.1 of this Agreement.
