Participating Shareholder definition

Participating Shareholder means, with respect to any registration, any Holder of Registrable Securities covered by the applicable Registration Statement.

• Indemnification similar to that specified herein (with appropriate modifications) shall be given by the Company and each Participating Shareholder with respect to any required registration or other qualification of securities under any federal or state law or regulation or governmental authority other than the Securities Act.

• If a Significant Shareholder Group gives a Participation Notice to the Initiating Shareholder , then the Initiating Shareholder and each Participating Shareholder shall jointly instruct the Corporation on how to proceed with the Process and the consummation of the Liquidity Event, so long as each of the Initiating Shareholder and each Participating Shareholder acts in good faith in an effort to cause the Corporation to pursue a Process and effect a Liquidity Event in a timely manner.

More Definitions of Participating Shareholder

Participating Shareholder means the person for the time being entered in the Register as the holder of a Participating Share and includes persons so entered as joint holders;
