Per Share Series B Preferred Merger Consideration definition

Per Share Series B Preferred Merger Consideration means the greater of (i) a per share amount for each share of Series B Preferred Stock that is equal to the Series B Preferred Liquidation Preference Amount with respect to such share of Series B Preferred Stock, or the (ii) per share amount for each share of Series B Preferred Stock that is equal to the applicable Preferred As-Converted Amount with respect to such share of Series B Preferred Stock, in each case, as set forth on the Final Merger Consideration Certificate.
Per Share Series B Preferred Merger Consideration means an amount equal to (i) $10.00, plus (ii) the Series B Preferred Dividend Payment Per Share.

  • For the avoidance of doubt, if the exercise price of any such terminated Option or Warrant is equal to or greater than the Per Share Common Merger Consideration, Per Share Series A Preferred Merger Consideration or Per Share Series B Preferred Merger Consideration, as applicable, then such Option or Warrant shall be terminated and retired without any payment or other consideration therefor.
