Permitted Equity Derivatives definition

Permitted Equity Derivatives means (1) any forward purchase, accelerated share purchase or other equity derivative transactions relating to the Equity Interests of the Company entered into by the Company or any Restricted Subsidiary; provided that any Restricted Payment made in connection with such transaction is permitted pursuant to Section 10.10 and (2) any Permitted Convertible Indebtedness Call Transactions.
Permitted Equity Derivatives means any forward purchase, accelerated share purchase, call option, warrant transaction or other equity derivative transactions relating to the Equity Interests of Irish Holdco entered into by Irish Holdco or any Restricted Subsidiary provided that any Restricted Payment made in connection with such transaction is permitted pursuant to Section 6.04, including any Swap Agreements executed in connection therewith (or deemed executed therewith).
Permitted Equity Derivatives means any forward purchase, accelerated share purchase, call option transaction, capped call option transaction, bond hedge transaction, warrant transaction (whether such warrant is settled in Equity Interests (other than Disqualified Equity Interests) of Holdings, cash or a combination thereof) or other equity derivative transactions relating to any Convertible Debt of Holdings or any other Loan Party; provided, that any Restricted Payment made in connection with such transaction is permitted pursuant to Section 6.07, including any Swap Agreements executed in connection therewith (or deemed executed therewith).

  • Irish Holdco and the Borrower will not, and will not permit any of their Restricted Subsidiaries to, enter into any Swap Agreement, except Permitted Equity Derivatives and Swap Agreements in respect of Permitted Hedging Obligations.

Permitted Equity Derivatives means any forward purchase, accelerated share repurchase, call option, warrant or other derivative transactions in respect of the Borrower’s Capital Stock; provided, that (x) such transaction shall be classified in the Borrower’s stockholders’ equity under ASC 815-40 or any successor provision and (y) the terms, conditions and covenants of each such transaction shall be customary for transactions of such type, as determined by the Borrower in good faith.
Permitted Equity Derivatives means any forward purchase, accelerated share purchase, call option transaction, capped call option transaction, bond hedge transaction, warrant transaction (whether such warrant is settled in Equity Interests (other than Disqualified Equity Interests) of Holdings or any direct or indirect parent of Holdings (including Topco), cash or a combination thereof) or other equity derivative transactions relating to any Convertible Debt of Holdings or any or any direct or indirect parent of Holdings (including Topco) or any other Loan Party; provided, that any Restricted Payment made in connection with such transaction is permitted pursuant to Section 6.07, including any Swap Agreements executed in connection therewith (or deemed executed therewith).

Permitted Equity Derivatives means any forward purchase agreement, accelerated share purchase agreement, or Swap Agreement, in each case, that is settled (after payment of any premium or any prepayment thereunder) through the delivery of cash and/or of Equity Interests (other than Disqualified Stock) of the Parent and is executed in connection with any Convertible Debt Securities (or deemed executed therewith) in customary form, the purpose of which is to repurchase Equity Interests (other than Disqualified Stock) of the Parent and/or mitigate dilution upon conversion of such Convertible Debt Securities (including, but not limited to, any bond hedge transaction, warrant transaction, or capped call transaction).
Permitted Equity Derivatives means (a) those certain call option transactions dated as of November 19, 2013 between Horizon and Deutsche Bank AG, London Branch or Société Générale, including any Swap Agreements executed in connection therewith (or deemed executed therewith), as amended, supplemented or otherwise modified, and (b) any forward purchase, accelerated share purchase or other equity derivative transactions relating to the Equity Securities of Irish Holdco entered into by Irish Holdco or any Restricted Subsidiary provided that any Restricted Payment made in connection with such transaction is permitted pursuant to Section 6.04, including any Swap Agreements executed in connection therewith (or deemed executed therewith).
Permitted Equity Derivatives means any forward purchase agreement, block purchase, accelerated share purchase agreement, or call or capped call option (or substantially equivalent derivative transaction) referencing the common stock of the Borrower purchased by the Borrower in connection with any Convertible Debt Securities (or deemed therewith) on customary terms for an agreement of such type (as determined by the Borrower in good faith); provided that, with respect to any such issuance of Convertible Debt Securities, the aggregate cash consideration paid by the Borrower and its Subsidiaries for Permitted Equity Derivatives acquired, entered into or issued in connection therewith (net of any proceeds received by the Borrower and its Subsidiaries for the sale of any Permitted Warrant Transactions entered into or issued in connection therewith) shall not exceed the net cash proceeds to the Borrower of such issuance.
