Permitted Escrow Arrangement definition

Permitted Escrow Arrangement means, with respect to any Indebtedness issued or incurred prior to the date of consummation of a specified related transaction to be funded with such Indebtedness, customary escrow or similar arrangements with respect to such Indebtedness and related Permitted Escrow Funds, which shall provide for the termination of such escrow or similar arrangement, the release of the related Permitted Escrow Funds and the discharge and release of the related Liens on such Permitted Escrow Funds (a) upon the consummation of such specified related transaction (and the satisfaction or waiver of any other conditions to the termination of such escrow or similar arrangement) or (b) if such specified related transaction is not consummated on or prior to the end of the escrow period contemplated by such escrow or similar arrangement, in connection with the Discharge of such Indebtedness.
