The Lenders hereby agree from and after the date of execution of this Agreement until the conversion into equity of the Second Conversion Amount to forbear in the exercise of any rights or remedies, whether granted in the Loan Documents or under law, with respect to the Company or any of its assets (the “Forbearance Period”), other than the exercise of the Permitted Remedies.
