Junior Secured Obligations definition

Junior Secured Obligations means (a) with respect to the Noteholder Obligations (to the extent such Obligations are secured by the Noteholder First Lien Collateral), the Revolving Facility Obligations, and (b) with respect to Revolving Facility Obligations (to the extent such Obligations are secured by the Revolving Facility First Lien Collateral), the Noteholder Obligations.
Junior Secured Obligations means Junior Lien Obligations that are secured by the Junior Collateral pursuant to the Junior Lien Documents.
Junior Secured Obligations means (a) (i) in respect of the First Lien Obligations (to the extent such Obligations are secured by the Note Priority Collateral), each of the ABL Obligations, the Second Lien Obligations and the Subordinated Lien Obligations, and (ii) in respect of the First Lien Obligations (to the extent such Obligations are secured by the ABL Priority Collateral), each of the Second Lien Obligations and the Subordinated Lien Obligations, (b) (i) in respect of the ABL Obligations (to the extent such Obligations are secured by the Note Priority Collateral), the Subordinated Lien Obligations, and (ii) in respect of the ABL Obligations (to the extent such Obligations are secured by the ABL Priority Collateral), each of the First Lien Obligations, the Second Lien Obligations and the Subordinated Lien Obligations, and (c) in respect of the Second Lien Obligations (to the extent such Obligations are secured by the Note Priority Collateral or the ABL Priority Collateral), the Subordinated Lien Obligations.

  • It is agreed that the obligations of the Senior Representative and the rights of the Junior Representative and the other Junior Secured Obligations Secured Parties in connection with any such bailment arrangement will be in all respects subject to the provisions of Article II.

  • The priorities provided for herein shall not be altered or otherwise affected by any Refinancing of either the Junior Secured Obligations (or any part thereof) or the Senior Secured Obligations (or any part thereof), by the release of any Collateral or of any guarantees for any Junior Secured Obligations or Senior Secured Obligations or by any action that any Representative or Secured Party may take or fail to take in respect of any Collateral.


More Definitions of Junior Secured Obligations

Junior Secured Obligations means (a) the Capital Note Obligations, (b) the Junior Management Fees and (c) obligations in respect of securities issued by or on behalf of the Issuer and/or the Co-Issuer or other obligations undertaken by the Issuer, in each case, that, by their terms, are to be included within the "Secured Obligations" but are subordinated to the Senior Subordinated Obligations and the Senior Obligations;
Junior Secured Obligations means, at any time of determination, with respect to any Common Collateral, the Bank Group Obligations, the Convertible Note Obligations and/or the Pension Fund Obligations, in each case, to the extent such obligations are secured by a Junior Lien.
Junior Secured Obligations means (a) with respect to the ABL Priority Collateral, the Non-ABL Obligations, and (b) with respect to the Non-ABL Priority Collateral, the ABL Obligations.

Junior Secured Obligations means the Second Secured Obligations and the Third Secured Obligations, until the First Secured Obligations are Paid in Full, and thereafter means the Third Secured Obligations and Fourth Secured Obligations until the Second Secured Obligations are Paid in Full, and thereafter means the Fourth Secured Obligations.
Junior Secured Obligations means any and all Secured Obligations that, at the time of the incurrence thereof, are in excess of the First Lien Secured Obligations Cap. For greater certainty, any Secured Obligations that are Junior Secured Obligations at the time of incurrence shall continue to be Junior Secured Obligations notwithstanding the repayment of all or a portion of the Secured Obligations that fit within the First Lien Secured Obligations Cap. The Company shall, upon the incurrence of any Junior Secured Obligations, notify the Collateral Trustee and the Trustee of the same.
Junior Secured Obligations means, with respect to any Company, the obligations of such Company in its capacity as a Guarantor pursuant to Article 4 of the Credit Agreement.
