Permitted Surviving Debt definition

Permitted Surviving Debt has the meaning specified in the definition of the “Transactions.”

More Definitions of Permitted Surviving Debt

Permitted Surviving Debt means any (i) purchase money Indebtedness with respect to fixed assets and Capital Lease Obligations of the Borrower and its Subsidiaries, or related to the Acquired Business, as applicable, existing on the Closing Date, (ii) Indebtedness permitted under Section 7.1(a)(xiii) of the Borrower and its Subsidiaries, or related to the Acquired Business, as applicable, existing on the Closing Date, and (iii) unsecured intercompany Indebtedness among the Borrower and its Subsidiaries.
Permitted Surviving Debt means collectively, together with any replacements, extensions and renewals of any such indebtedness that matures or will be terminated on or prior to the Closing Date: (i) indebtedness outstanding on the date of, and permitted to be incurred under, the Acquisition Agreement and, in each case, permitted to remain outstanding after the Closing Date under the Existing Credit Agreement, (ii) ordinary course capital leases, purchase money indebtedness, equipment financings and short-term working capital facilities and (iii) certain other indebtedness that Borrower and the Commitment Parties reasonably agree may remain outstanding after the Closing Date.
