Permitted Syndication definition

Permitted Syndication means the syndication of indirect interests in the Holdco Group by the Lead Investor;
Permitted Syndication means the syndication of indirect interests in the Holdco Group by Babylon to direct or indirect subsidiaries of funds managed and/or advised by Brookfield Asset Management Limited or its affiliates, provided that such transfer:
Permitted Syndication a transaction (or series of transactions) approved by the Board of Directors of the Borrower or the Executive Committee of the Board of Directors of the Borrower whereby the Borrower or a Subsidiary of the Borrower sells part, but not all, of its interest in a Subsidiary that owns, leases or operates a Hospital to one or more third parties or of its interest in a Hospital to a partially owned Subsidiary; PROVIDED that the aggregate amount or value of the consideration received by any Permitted Syndication Subsidiary and/or the Borrower and its other Subsidiaries from third parties in connection with such transaction (or series of transactions) (the "SYNDICATION PROCEEDS"), when added to the aggregate Syndication Proceeds from all previous Permitted Syndications on or after the Closing Date, does not exceed $50,000,000.

Examples of Permitted Syndication in a sentence

  • Other than a Permitted Syndication or Permitted Shareholder Assignment, any assignment, sell-down or syndication of all or part of the Equity Commitments will be subject to the prior written consent of each of the Lead Investors.

  • Invest Vehicle as the entity in which such Permitted Syndication Party will be directly investing.

  • Any Permitted Syndication shall not relieve the Investor of its obligations under its Equity Commitment Letter in the event that any such Affiliate fails to perform such obligations.

More Definitions of Permitted Syndication

Permitted Syndication has the meaning set forth in Section 9.1(c).
