Examples of Pfizer Parties in a sentence

  • The Pfizer Parties are in compliance in all material respects with the terms and requirements of all Purchased Programs Permits.

  • As of the date hereof, no Prospective Employee has given notice to any of the Pfizer Parties of such employee’s termination of employment or request for a leave of absence.

  • All Purchased Programs Permits are valid and in full force and effect, and are not subject to any administrative or judicial Proceeding that would reasonably be expected to result in any modification, termination or revocation thereof and, to the knowledge of the Pfizer Parties, no suspension or cancellation of any such Purchased Programs Permit is threatened by a Governmental Authority in writing.

  • The Pfizer Parties shall have delivered to NewCo all of the documents, agreements and other items set forth in Section 4.2.

  • As of the Employee Transfer Date, the Pfizer Parties will provide NewCo with a list by date and location of the number of employees who work in a facility, office or location where any of the Prospective Employees will be based following the Employee Transfer Date and whose employment was involuntarily terminated by any of the Pfizer Parties within the ninety (90) days preceding the Employee Transfer Date.

  • Pfizer means Pfizer Inc.

  • Licensee Parties has the meaning ascribed to such term in Section 5.1.

  • Sublicensees as used herein in either singular or plural shall mean any person or entity other than an AFFILIATED COMPANY to which Company has granted a sublicense under this Agreement.

  • Merck has the meaning set forth in the preamble.

  • Contracting Parties has the meaning set forth in Section 9.14.

  • Party and Parties means the Settling Defendants, the Plaintiffs, and, where necessary, the Settlement Class Members.

  • Covered Parties has the meaning set forth in Section 6.7(a).

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.

  • Parent Representatives has the meaning set forth in Section 5.2(a).

  • Party/Parties means Buyer and Seller individually/collectively.

  • CTI means Castle Transmission International Limited.

  • Buyer Representatives shall have the meaning set forth in Section 6.4(a).

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Seller Representatives has the meaning set forth in Section 5.8(a).

  • ISIS means the department’s individualized services information system.

  • Third Parties means all lessees, sublessees, licensees and other users of the Properties, excluding those users of the Properties in the ordinary course of the Borrower's business and on a temporary basis.

  • Seller Party means Seller, any Affiliates of Seller, any direct or indirect subcontractors of Seller or its Affiliates and any of such subcontractors' Affiliates.
