Seller has not granted, and to Seller’s knowledge there are not outstanding, any options, licenses, sublicenses, exclusive sales or distribution agreements or other Contracts of any kind with respect to the Acquired Assets, Photrex or other Miravant Derived Photodynamic Therapy Products related to the Acquired Assets, with any Third Parties, nor is Seller bound by or a party to any such Contract with a Third Party.
During the term of this Agreement, unless otherwise agreed to by Miravant, P&U AB shall not, directly, or indirectly, develop or sell other Photodynamic Therapy drugs for use in the Field.
To Seller’s knowledge, sales of Photrex and other Miravant Derived Photodynamic Therapy Products related to the Acquired Assets are not subject to any royalties or other payments to Third Parties, and Seller is not obligated to pay any royalties or other payments to Third Parties with respect to the marketing, sale, distribution, manufacture, license or use of any Acquired Assets or any other property or rights relating thereto.
PDTC and Ramus agree to use reasonable efforts to cooperate in the joint development of technology, instruments, devices and products for applying PDTC's Photodynamic Therapy technology to Ramus Products.
The term "MRVT Technology" shall mean MRVT's proprietary pharmaceutical and medical device products (trademarked "PhotoPoint"), using the principles of Photodynamic Therapy.

The term "SnET2 Light Devices" shall mean the instruments developed, manufactured, or licensed by PDTI (by itself or in collaboration with a third party) that produce, deliver or measure light for use with SnET2 in Photodynamic Therapy in the Field, including but not limited to light sources, light delivery devices, light dosimetry devices and light device.
