  • Photowatt shall (and shall cause its respective Group members and Representatives to) hold in strict confidence and restrict the use of the confidential and proprietary Information of third Persons to which any member of the Photowatt Group has access, in accordance with the terms of any agreements entered into prior to the Separation Time between members of the ATS Group (whether acting through, on behalf of, or in connection with, the Photowatt Business or otherwise) and such third Persons.

  • Photowatt shall be responsible on or after the Effective Date for payment of self-insured retentions, deductibles and other amounts not covered by insurance policies pertaining to the Photowatt Business.

  • Unless otherwise specifically set forth in Schedule I or agreed in writing by the Parties, it is the intention of the Parties that the use by the Photowatt Group of the Services shall not be substantially greater than the level of use by the Photowatt Business prior to the Effective Date.

  • Prior to any printing or public release of any ATS Public Filings, an appropriate executive officer of Photowatt shall, if requested by ATS, certify that the information relating to any Photowatt Group member or the Photowatt Business in such ATS Public Filings is accurate, true, complete and correct in all material respects.

  • Unless required by Law, Photowatt shall not publicly release any financial or other information that conflicts with the information with respect to any Photowatt Group member or the Photowatt Business that is included in any ATS Public Filings without ATS’ prior written consent.
