Preferred Stock Financing definition

Preferred Stock Financing shall have the meaning provided in the recitals to this Agreement.
Preferred Stock Financing means AVROBIO’s first issuance and sale of shares of a newly-authorized series of preferred stock (e.g., Series B preferred stock) after the date of this Agreement to venture capital funds or other institutional investors in an equity financing with gross proceeds to the Company from sales occurring after the date of this Agreement of not less than [***].
Preferred Stock Financing means Borrower's Series D Preferred Stock financing with gross proceeds to Borrower of at least $5,000,000 and at a pre-money valuation not to exceed $86,000,000.
