Preliminary Base Shelf Prospectus definition

Preliminary Base Shelf Prospectus means the preliminary short form base shelf prospectus of the Company dated June 24, 2019, filed with the Securities Commissions for the purpose of qualifying the distribution in the Qualifying Jurisdictions of the securities described therein, including all Documents Incorporated by Reference therein and any Supplementary Material;

Preliminary Base Shelf Prospectus has the meaning ascribed thereto in the fifth paragraph of this Agreement;

Preliminary Base Shelf Prospectus means the preliminary short form base shelf prospectus of the Company (in both the English and French languages unless the context indicates otherwise) dated September 23, 2020 relating to the distribution of up to US$300,000,000 of Nomad Shares and other securities of the Company specified therein including, for greater certainty, the documents incorporated or deemed to be incorporated by reference therein;

• All references in this Agreement to the Canadian Preliminary Base Shelf Prospectus, the Canadian Final Base Shelf Prospectus, the Canadian Preliminary Prospectus Supplement and the Canadian Prospectus Supplement, or any amendments or supplements to any of the foregoing, shall be deemed to include any copy thereof filed with the Canadian Qualifying Authorities pursuant to the System for Electronic Document Analysis and Retrieval (SEDAR).

• The Canadian Preliminary Base Shelf Prospectus and the Canadian Final Base Shelf Prospectus have been filed with the Qualifying Authorities, for which receipts have been obtained from the Qualifying Authorities in respect of such Canadian Preliminary Base Shelf Prospectus and the Canadian Final Base Shelf Prospectus.

• All references in this Agreement to the Canadian Preliminary Base Shelf Prospectus, the Canadian Final Base Shelf Prospectus and the Canadian Prospectus Supplement, or any amendments or supplements to any of the foregoing, shall be deemed to include any copy thereof filed with the Canadian Qualifying Authorities pursuant to the System for Electronic Document Analysis and Retrieval (“SEDAR”).

• The Canadian Preliminary Base Shelf Prospectus, the Initial Canadian Final Base Shelf Prospectus and the Amendment to the Canadian Final Base Shelf Prospectus have been filed with the Qualifying Authorities, for which receipts have been obtained from the Qualifying Authorities in respect of such Canadian Preliminary Base Shelf Prospectus, the Initial Canadian Final Base Shelf Prospectus and the Amendment to the Canadian Final Base Shelf Prospectus.

• All references in this Agreement to the Canadian Preliminary Base Shelf Prospectus, the Canadian Final Base Shelf Prospectus and the Canadian Prospectus Supplement, or any amendments or supplements to any of the foregoing, shall be deemed to be the copy thereof filed with the Canadian Qualifying Authorities and available on the System for Electronic Document Analysis and Retrieval (“SEDAR”).

More Definitions of Preliminary Base Shelf Prospectus

Preliminary Base Shelf Prospectus has the meaning given to that term in Section 2(a); “Prospectus” has the meaning given to that term in Section 2(b);
