Notwithstanding the foregoing, in the event that a dispute arises between Purchaser or the Acquired Companies and a third party (other than Seller or any of its Affiliates) after the Closing, the Acquired Companies may assert the attorney–client privilege to prevent disclosure of confidential communications with Prior Counsel to such third party.
No term of this Section 7.15 may be amended, waived, or modified, without the prior written consent of such Prior Counsel.
This Section 7.15 is for the benefit of Seller and each Prior Counsel, and such Prior Counsel are intended third party beneficiaries of this Section 7.15.
