Prior Counsel definition

Prior Counsel has the meaning set forth in Section 10.13.
Prior Counsel is defined in Section 10.18(a).
Prior Counsel has the meaning as set forth in Section X.17(a)(i).

  • The Parties intend that all rights to any attorney-client privilege or attorney work-product protection with respect to any communication or advice given by Prior Counsel to the Company Group during any existing representations (“Pre-Closing Privilege”), shall be retained by the Company Stockholder and shall not be claimed or used by Acquiror or the Company, except as expressly provided in this Section X.17(c).
