ProFrac PubCo means ProFrac Holding Corp., a Delaware corporation.
PubCo has the meaning set forth in the Preamble.
Merger Subs has the meaning set forth in the Preamble.
Subco means 0961994 B.C. Ltd., a company existing under the laws of the Province of British Columbia;
Acquiror has the meaning set forth in the Preamble.
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Model 2 seller means a seller registered under the agreement that:
Buyer Parent has the meaning set forth in the Preamble.
Model 1 seller means a seller registered under the agreement that has selected a certified service provider as the seller's agent to perform all of the seller's sales and use tax functions for agreement sales and use taxes other than the seller's obligation under Section 59-12-124 to remit a tax on the seller's own purchases.
AHPRA means The Australian Health Practitioner Regulation Agency. AHPRA is responsible for regulating Australia’s registered health practitioners.
EUMA means the “SAP Delivered Support Agreement” which sets out the terms and conditions under which SAP provides support to End Users and which will be provided by SAP on a deal by deal basis.
Market Seller Offer Cap means a maximum offer price applicable to certain Market Sellers under certain conditions, as determined in accordance with Tariff, Attachment DD. section 6 and Tariff, Attachment M-Appendix, section II.E.
RFB means this Request for Bids and any addenda hereto.
NPCI means National Payments Corporation of India;
Acquireco has the meaning ascribed thereto in the recitals.
Contributors has the meaning set forth in the Preamble.
Seller Parent has the meaning set forth in the Preamble.
OGTR means the Office of the Gene Technology Regulator.
Company Shareholders means holders of Company Shares.
Seller Entities means the Seller and its affiliates other than the Buyer Entities;
SAHRC means the South African Human Rights Commission.
CMBI means Chase Manhattan Bank International, an indirect wholly-owned subsidiary of Bank, located in Moscow, Russia, and any nominee companies appointed by it.
DPWH means the Department of Public Works and Highways of the Government of the Philippines.
Merger Sub 2 has the meaning set forth in the Preamble.
Acquirer means a business organization, financial institution, or an agent of a business organization or financial institution that has authority from an organization that operates or licenses a credit card system to authorize merchants to accept, transmit, or process payment by credit card through the credit card system for money, goods or services, or anything else of value.
AMFI means Association of Mutual Funds in India.
MergerSub has the meaning set forth in the preamble hereto.
