Seller further warrants and agrees to provide notice to ▇▇▇▇▇ if it learns of facts that make the information Seller provided in the Prospective Business Associate Questionnaire no longer accurate in all material respects.
Seller warrants that the information Seller will provide on the Prospective Business Associate Questionnaire will be true, accurate and complete in all material respects.
For purposes of this Section, if the Corporation and/or any of its Affiliates do not in fact engage in a Prospective Business Activity within one (1) year after the termination of the Non-Competition Period, then the Corporation shall be deemed not to have had a bona fide intention to engage in such Prospective Business Activity.

For avoidance of doubt, nothing in this Agreement shall restrict Seller or its Affiliates from soliciting any customer, whether an Active Business Customer or related to a Prospective Business Matter, for an enterprise video content management solution.
For the purposes of this Agreement, a "Prospective Business Partner" shall be defined as any person, company, customer, supplier, licensee or any other entity that has solicited or received a written proposal from the Company or any WWE Affiliate to sell, purchase or provide any services or products during the twelve (12) months prior to Executive's last day of employment at the Company.
Further, County understands and agrees that any agreement entered into between the County and Prospective Business is at the sole discretion and determination of County.
The Prospective Business partner or the ‘Registered Business partner’ shall not impersonate any person or entity, or falsely state or otherwise misrepresent identity, age or affiliation with any person or entity.
The County understands and agrees that there is no guarantee of outcome based on the services being performed under this Agreement and that the SEDC does not and cannot promise, guarantee or assure the County of the success of any Prospective Business.
