Examples of Purchaser FSA Plan in a sentence
The Purchaser FSA Plan shall reimburse Seller or the Seller FSA Plan at the end of the calendar year containing the Closing Date to the extent amounts were paid to a participant by the Seller FSA Plan and not collected from the participant by the Seller or Seller FSA Plan and such amounts are subsequently collected by the Purchaser FSA Plan with respect to such participant.
Following the Transfer Date, each Transferred Employee will be reimbursed by Purchaser under the Purchaser FSA Plan for qualifying medical and dependent care expenses incurred by such Transferred Employee at any time during 2012 (including claims incurred before the Transfer Date), up to the amount of the elections made by each Transferred Employee under the Seller FSA Plan for 2012, reduced by amounts previously reimbursed by Seller or its Affiliates pursuant to the Seller FSA Plan in 2012.

Transferred Employees who elected to participate in the Seller FSA Plan for the plan year beginning January 1, 2012 will become participants in a flexible spending account plan of Purchaser or one of its Affiliates (the “Purchaser FSA Plan”) as if their participation in the Purchaser FSA Plan had been continuous from January 1, 2012 and at the same level of coverage elected under the Seller FSA Plan.
In connection with such transfer, Purchaser shall deem that such Employees’ deferral elections made under the Seller FSA Plan for the plan year in which the Closing Date occurs shall continue in effect under the Purchaser FSA Plan for the remainder of the plan year in which the Closing Date occurs.
As soon as practicable following the Closing Date, the Seller shall cause to be transferred from the Seller FSA Plan to the Purchaser FSA Plan the excess, if any, of the aggregate accumulated contributions to the flexible spending reimbursement accounts made by Transferred Employees prior to the Closing during the year in which the Closing occurs over the aggregate reimbursement payouts paid or payable to the Transferred Employees for such year from such accounts.
The beginning balance as of the Closing Date in each Purchaser FSA Plan shall be the unused portion of the balance in the analogous Seller FSA Plan.
Transferred Employees who elected to participate in the Seller FSA Plan for the plan year beginning January 1 of the year during which the Closing occurs shall become participants in a flexible spending account plan of the Purchaser or its Affiliate (the “Purchaser FSA Plan”) as if their participation in the Purchaser FSA Plan had been continuous from such January 1 and at the same level of coverage elected under the Seller FSA Plan.
Purchaser shall cause such amounts to be credited to each such Employee’s account under Purchaser’s or its Affiliate’s corresponding flexible spending account plan (the “Purchaser FSA Plan”), and all of the Employees’ claims for reimbursement of expenses incurred in the plan year in which the Closing Date occurs that have not been paid by the Seller FSA Plan as of the Closing shall be paid pursuant to the Purchaser FSA Plan.
