Purchasing Instrument definition

Purchasing Instrument means an individual transactional document executed hereunder for the purchase of Services or Deliverable(s) pursuant to this Agreement, including a “Purchase Order” or “Statement of Work” executed hereunder (see the Sample Purchasing Instrument/Statement of Work attached hereto for a sample Statement of Work), regardless of form, and which identifies the specific Services or Deliverable(s) to be purchased and any Acceptance Criteria or Specifications related thereto.
Purchasing Instrument means documentation issued by a Governmental Entity to Vendor for the purchase of Deliverables under an Underlying Agreement(s), including a “Purchase Order” or “Statement of Work” executed thereunder, regardless of form, and which identifies the Deliverables to be purchased and any other requirements deemed necessary by the applicable Governmental Entity, such as compensation and delivery dates.
Purchasing Instrument means documentation issued by DOE to Vendor for the purchase of Deliverables under this Agreement, including a “Purchase Order” or “Statement of Work” executed hereunder (See Attachment for a sample Statement of Work), regardless of form, and which identifies the specific Deliverables to be purchased and any other requirements deemed necessary by DOE, such as compensation and delivery dates.

Examples of Purchasing Instrument in a sentence

  • Except as specifically granted in a Purchasing Instrument, other agreement, or as otherwise provided in this Agreement, Vendor shall own all Deliverables that were independently and exclusively developed by Vendor prior to the Effective Date of this Agreement (“Vendor-Owned Deliverables”).

  • Except as otherwise set forth herein or in a Service Level Agreement attached as Special Terms and Conditions hereto, performance standards, monitoring, and review provisions applicable to specific projects are as set forth in the applicable Purchasing Instrument.

  • Vendor may only terminate an applicable Purchasing Instrument upon written notice of the breach by the Agency of any material term, condition, or provision of this Agreement related thereto, if such breach is not cured within sixty (60) days of the Agency’s receipt of Vendor’s written notice of breach.

  • Vendor represents and warrants that it is fully aware of the Agency’s requirements and intended purposes and uses for the Deliverables, the Application Services, and System(s), including as may be further identified or defined in a subsequent Purchasing Instrument executed hereunder, and that the Deliverables, Application Services, and System(s) shall satisfy such requirements, including all Specifications, in all material respects and are fit for their intended purposes and uses.

Purchasing Instrument means documentation issued by a Governmental Entity to Contractor for the purchase of Deliverables, including a “Purchase Order” or “Statement of Work” executed pursuant to any General Terms, regardless of form, and which identifies the Deliverables to be purchased and any other requirements deemed necessary by the applicable Governmental Entity, such as compensation and delivery dates.
Purchasing Instrument means a purchase order, a credit card order, a check, or any other means by which Licensee indicates to Serena that it is either licensing the Software for an indefinite term, increasing its Licensed Capacity, or changing its Licensed Configuration in such a way that additional charges are due.
