Examples of QRS Seller in a sentence

  • Each of QRS Seller, TRS Seller, Pledgor and Guarantor certifies that (x) the representations and warranties contained in the Transaction Documents to which it is a party remain true, correct and complete in all material respects as of the date hereof with the same force and effect as if made on the date hereof and (y) it has no offsets, counterclaims or defenses to any of its obligations under the Transaction Documents to which it is a party.

  • In addition, a Confirmation may be replaced in connection with a Future Funding Advance with respect to the related Purchased Loan in accordance with Section 3(c) and in connection with the transfer by QRS Seller to TRS Seller of Remainder Interests related to a Purchased Loan in accordance with Section 3(q).

  • The Sellers and various others are parties to a certain Amended and Restated Receivables Purchase Agreement, dated as of July 19, 2019 among Outfront Media Receivables LLC, as QRS Seller, Outfront Media Receivables TRS, LLC, as TRS Seller, Outfront Media LLC, as Servicer, the Purchasers party thereto, the Group Agents party thereto and MUFG Bank, Ltd.

  • The QRS Seller, the Servicer, the various Purchasers party thereto, the various Group Agents party thereto and the Administrative Agent have entered into that certain Receivables Purchase Agreement, dated as of June 30, 2017 (as amended, supplemented or otherwise modified prior to the date hereof, the “Existing RPA”).

  • No Act of Insolvency has ever occurred with respect to QRS Seller, TRS Seller, Guarantor or Pledgor.

  • Nothing in this Section 25 shall affect the right of Buyer, QRS Seller or TRS Seller to serve legal process in any other manner permitted by law or affect the right of Buyer, QRS Seller or TRS Seller to bring any action or proceeding against the other party or its property in the courts of other jurisdictions.

  • Retail seller means any person that sells any dangerous drug to consumers without assuming control over and responsibility for its administration. Mere advice or instructions regarding administration do not constitute control or establish responsibility.

  • The Purchaser means the organization purchasing the Goods, as named in SCC.

  • Purchaser Affiliate means any affiliate of the Purchaser, including a transferee who is an affiliate of the Purchaser, and any person who controls the Purchaser or any affiliate of the Purchaser within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act; and

  • Model 1 seller means a seller registered under the agreement that has selected a certified service provider as the seller's agent to perform all of the seller's sales and use tax functions for agreement sales and use taxes other than the seller's obligation under Section 59-12-124 to remit a tax on the seller's own purchases.

  • Secondary Seller means the Seller whose Bid City selected as a back-up supplier in the event the Primary Seller is unable to provide all the Goods and/or Services required.

  • Transferors means the entities acting as Transferors under the Pooling and Servicing Agreement.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Mortgage Loan Seller Sub-Servicer A Sub-Servicer required to be retained by the Master Servicer by a Mortgage Loan Seller, as listed on Exhibit S to this Agreement, or any successor thereto.

  • The Vendor means the person, firm, company or organization on whom the Purchase Order is placed and shall be deemed to include the vendor’s successors, representative heirs, executors and administrator as the case may be. It may also be referred to as Seller, Contractor or Supplier.

  • Purchaser means the organization purchasing the goods.

  • Transferred Entities means the entities set forth on Schedule 1.5.
