Qualified Referral definition

Qualified Referral means any Referral who has met the Trading Terms as per para 3.1 herein below.

  • In order for the Referring Party to be eligible to receive a referral fee, the potential customer must be a Qualified Referral.

More Definitions of Qualified Referral

Qualified Referral means a Customer that is an active customer of LogMeIn for not less than ninety (90) consecutive days.
Qualified Referral means a referral for which each of the following is true: (1) the referral in one in which Purchaser has had at least 7 calendar days to run a conflicts check and such conflicts check results in no conflict with another Introducer or broker or that would otherwise prohibit Purchaser from consummating the Transaction; (2) the referral is provided during the term of this Agreement; (3) the referral is to a Target with which Introducer has a direct and established relationship; (4) the referral is one in which Introducer introduces Purchaser to the ownership or management and Purchaser either meets in person or has a call with the ownership or management; (5) the referral is to a Target that expresses interest in a Transaction; (6) the referral is one in which the Purchaser is able to verify the Target’s EBITDA; and (7) the referral is for a Transaction in which no sell-side broker, consultant, advisor, or intermediary has been engaged or retained, and no competitive search or auction process has been initiated.
Qualified Referral means any Prospective Customer other than Prospective Customers either: (a) who have an existing account with OSS as of the Effective Date; or (b) for whom a license and/or sale has already been initiated by OSS within at least six (6) months before the date the applicable Referral Notice was received by OSS.
