Qualified Referral definition

Qualified Referral means a lead or customer that, upon being referred by the Affiliate using the Affiliate Links, completes a transaction or enters into a business relationship with the Company, as further defined in Schedule 1; (iii) “Commission” means the fee payable to the Affiliate based on the Net Revenue derived from Qualified Referrals, as set forth in Section 5; and (iv) “Net Revenue” means the gross revenue received by the Company from Qualified Referrals, less any returns, discounts, chargebacks, and taxes directly attributable to such transactions. The Affiliate shall: use commercially reasonable efforts to promote and refer potential business customers to the Company by prominently displaying Affiliate Links and using approved marketing channels; adhere strictly to the Company’s branding and marketing guidelines provided in Schedule 2, ensuring that all promotional materials accurately represent the Company’s Products and do not mislead potential customers; keep detailed records of all referral activities, leads generated, and any sales resulting from those referrals, and cooperate with the Company in any audits or reviews to verify Commission calculations; protect and maintain the confidentiality of any proprietary or confidential information provided by the Company, using it solely for the purposes of performing its obligations under this Agreement; provide periodic performance reports and promptly notify the Company of any discrepancies or issues related to referral tracking or Commission payments, ensuring any disputes are raised in writing within the timeframes specified in Section 5; and comply with all applicable laws and industry standards in all promotional activities and refrain from making any false, misleading, or unauthorized representations regarding the Company’s Products.
Qualified Referral means any Referral who has met the Trading Terms as per para 3.1 herein below.

Examples of Qualified Referral in a sentence

  • In order for the Referring Party to be eligible to receive a referral fee, the potential customer must be a Qualified Referral.

  • For each Qualified Referral You make during the Program term you will receive one thousand dollars, no cents ($1,000.00).

  • Upon a Referral becoming a Qualified Referral, Company shall pay Partner referral fees in arrears at ten percent (10%) of the contracted license fees for the term of the initial contract payable by the Qualified Referral under the Terms (“Referral Fees”).

  • The Referral Fee Percentage for a Qualified Referral shall be calculated at time of payment based on projected annual revenue rate (“ARR”) of Qualified Referral Subscription Fees.

  • For each sale of OSS services or other products to a Qualified Referral, OSS shall pay Document Sciences a Referral Fee.


More Definitions of Qualified Referral

Qualified Referral has the meaning given such term in section 2.5.
Qualified Referral means any Prospective Customer other than Prospective Customers either: (a) who have an existing account with OSS as of the Effective Date; or (b) for whom a license and/or sale has already been initiated by OSS within at least six (6) months before the date the applicable Referral Notice was received by OSS.
Qualified Referral means a Referral that meets the eligibility requirements set forth in these Terms and is accepted by Podium through the Referral Portal or which uses a valid referral code to purchase a Podium Inbox or Bundle Subscription. A "Qualified Referral" may not be an individual person.
Qualified Referral means the Partner’s referral of a Potential Client to Solidgate that would otherwise has not led to conclusion of the Services Agreement between Solidgate and the Potential Client.
