Qualified Underwriter definition

Qualified Underwriter means a managing underwriter registered with the New York stock exchange or another underwriter determined by the administrator to be qualified upon consideration of factors such as the following:
Qualified Underwriter means a firm listed on Schedule 2 or otherwise selected by mutual agreement of the SK Holders and the Company.
Qualified Underwriter means any of the following financial institutions: (i) Merrill Lynch International, (ii) Morgan Stanley, (iii) The Royal Bank ox Xxxxxaxx XXC, (iv) Barclays Bank XXX, (x) XXXxrgan, (vi) Credit Suisse, or (vii) any other financial institution selected by Harbinger and reasonably satisfactory to the Company in connection with the transactions contemplated by Article XII.

More Definitions of Qualified Underwriter

Qualified Underwriter shall have the meaning set forth in the definition of Acquiring Person.

  • Participating Underwriter means any of the original underwriters of the Bonds required to comply with the Rule in connection with offering of the Bonds.

  • Qualified Initial Public Offering means a public offering of the securities of Parent pursuant to an effective registration statement filed under the Securities Act, that is fully underwritten pursuant to a firm commitment contract and with respect to which the product of (a) the price to the public per share multiplied by (b) the aggregate number of offered shares will yield Net Offering Proceeds of at least $50,000,000.

  • Qualified Issuer any commercial bank (a) which has capital and surplus in excess of $250,000,000 and (b) the outstanding long-term debt securities of which are rated at least A by S&P or at least A2 by Moody’s, or carry an equivalent rating by a nationally recognized rating agency if both of the rating agencies named herein cease publishing ratings of investments.

  • Underwritten Takedown means an underwritten public offering of Registrable Securities pursuant to the Resale Shelf Registration Statement, as amended or supplemented.
