Qualifying Revolving Facility definition

Qualifying Revolving Facility means a revolving credit facility entered into by the Borrower, all or a portion of the proceeds of which will be used for Certain Funds Purposes and the commitments (or a portion thereof) under which are subject to conditions precedent to funding that are no less favorable to the Borrower than the conditions set forth herein to the funding of the Bridge Facility, as determined by the Borrower in its reasonable discretion.
Qualifying Revolving Facility means any revolving credit facility or increase in revolving credit commitments that is entered into by the Company for the stated purpose of providing financing for the Acquisition, the Acquired Company Debt Repayment and fees and expenses relating thereto, including the New Revolving Credit Facility, provided that the definitive credit or similar agreement (or incremental agreement under the Existing Revolving Credit Agreement) with respect thereto has become effective and the conditions precedent to funding thereunder are no less favorable to the Company or are more favorable to the Company than the conditions set forth herein to the funding of the Bridge Facility, as determined in good faith by the Company.
