Rate Event definition

Rate Event means any increase in the Dividends Tax Rate above 15% (fifteen per cent) (which is the rate at which the Dividends Tax was levied on the Tax Reference Date);

Examples of Rate Event in a sentence

  • Upon the occurrence of an Alternative Rate Event, the Trustee shall have no responsibility for the determination of any alternative index or the calculation of the Certificate Interest Rates for the COFI Certificates.

  • A Reference Rate Event is expected to occur if the benchmark ceases or if the administrator of the Reference Rate ceases to have the necessary authorisations.

  • If the Calculation Agent has delivered a Reference Rate Event Notice and the Notes have not yet been redeemed, there will be a period for which no benchmark is available for the Notes.

  • If a Series references a benchmark, there is a risk that a Reference Rate Event occurs in respect of such benchmark.

  • For the avoidance of doubt, any Alternative Rate Conforming Changes in any amendment to this Agreement may be retroactive (including retroactive to the date of an Alternate Rate Event) and this Agreement may be amended more than once in connection with Alternative Rate Conforming Changes; provided, that no such retroactive Alternative Rate Conforming Change shall alter any interest payment previously paid.

  • The applicable benchmark for determining any such suspended amounts will be the alternative benchmark identified by the Calculation Agent (as adjusted by any adjustment spread) and not the benchmark in respect of which the Reference Rate Event has occurred.If an alternative benchmark and adjustment spread are not identified, the Notes shall redeem at their Early Redemption Amount and no other amount (including any suspended amounts or any interest thereon) shall be payable in respect of the Notes.

  • If no Reference Rate Event were to occur in respect of LIBOR, after 2021 there is a significant risk that LIBOR will cease to be an appropriate benchmark to reference in financial products such as the Notes.

Rate Event means any event set forth in the Amended Partnership Agreement or in Article 3(b)(3) of the Articles Supplementary as a result of which there is required to occur an adjustment to the Preferred Return or the rate of the dividends payable with respect to shares of Company Preferred Stock, as set forth in the Amended Partnership Agreement or the Amended Company Declaration, as the case may be.

  • Interest Period means the period beginning on (and including) the Interest Commencement Date and ending on (but excluding) the first Interest Payment Date and each successive period beginning on (and including) an Interest Payment Date and ending on (but excluding) the next succeeding Interest Payment Date.

  • Market Disruption Event means either of the following events as determined by the Calculation Agent:

  • Reference Rate of Interest Event means, with respect to the EURIBOR rate or any subsequent Reference Rate of Interest (the "Reference Rate of Interest") one of the following events:

  • Rate Year means July 1st of a given Calendar Year through June 30th of the succeeding Calendar Year.

  • FX Market Disruption Event means each of the following events:
