For so long as the Class B Units are held by Investor, the Managing Member will (i) calculate at least quarterly the Internal Rate of Return achieved by Investor and (ii) send Investor, within forty-five (45) days after the end of each Quarter, a report in the form of the IRR Report showing the Internal Rate of Return as of such date.
If the rate of return for equity investments earned by the Partnership for the year (or such other period as may be determined by the Partners) does not exceed the Standard & Poor's Rate of Return by 100 Basis Points or more, the General Partner will be allocated Profits equal to .05 percent (5 Basis Points) of the average Gross Asset Value of equity investments held by the Partnership during such year (or other period determined by the Partners).
