RBL Claim definition

RBL Claim means any Claim arising under, derived from, based on, or secured pursuant to the RBL Credit Agreement.
RBL Claim means any Claim against any of the Debtors arising from or based upon the RBL Credit Agreement and shall include, without limitation, the “Credit Agreement Obligations” as defined in the Final Cash Collateral Order.
RBL Claim means any Claim of the RBL Agent or the RBL Lenders arising under, derived from, secured by or based on the RBL Credit Agreement or otherwise secured pursuant to the RBL Credit Documents and shall include, without limitation, any Claim held by affiliates of the RBL Lenders for cash management and hedging Obligations (as defined under the RBL Credit Agreement).

  • Each holder of an Allowed RBL Claim will receive, on a dollar-for-dollar basis, first lien, second-out term loans under the Exit Credit Agreement; provided, that each holder of an Allowed RBL Claim that elects to participate in the first-out revolving portion of the Exit Facility by the Voting Deadline shall receive on a dollar-for-dollar basis first lien, first-out revolving loans under the Exit Credit Agreement and letter of credit participations under the Exit Credit Agreement.

  • With respect to any distributions on the RBL Claims, distributions are to be made to the RBL Claim Agent.

More Definitions of RBL Claim

RBL Claim means any Claim arising under, derived from, or based upon the RBL Credit Agreement except Refinanced DIP Claims.
RBL Claim means any Claim against any of the Debtors arising out of or related to the RBL Facility or the RBL Documents, including any outstanding principal, accrued and unpaid interest and fees (including interest and fees accruing at the Default Rate following the Petition Date), reimbursement obligations and all other amounts that are outstanding obligations under the RBL Documents.
RBL Claim means a Claim arising under, derived from, or based upon the RBL Credit Facility, including, but not limited to, (a) principal, accrued and unpaid interest through, and including, the Effective Date, fees and other costs, expenses, charges, and amounts due and payable under the RBL Credit Facility and its related documentation, and (b) all Adequate Protection Obligations granted to or for the benefit of the Prepetition Secured Parties pursuant to the Cash Collateral Order.
RBL Claim means a Claim arising under, derived from, or based upon the RBL Credit Facility, including, but not limited to, (a) principal, accrued and unpaid interest through, and including, the Effective Date, fees and other costs, expenses, charges, and amounts due and payable under the RBL Credit Facility and its related documentation, and (b) all Adequate Protection Obligations granted to or for the benefit of the Prepetition Secured Parties pursuant to the Cash Collateral Order.

  • IPR Claim means any claim of infringement or alleged infringement (including the defence of such infringement or alleged infringement) of any IPR, used to provide the Services or as otherwise provided and/or licensed by the Supplier (or to which the Supplier has provided access) to the Authority in the fulfilment of its obligations under this Framework Agreement;

  • Priority Claim means a Claim that is entitled to priority in payment pursuant to section 507(a) of the Bankruptcy Code that is not an Administrative Claim or a Priority Tax Claim.

  • 503(b)(9) Claim means a Claim or any portion thereof entitled to administrative expense priority pursuant to section 503(b)(9) of the Bankruptcy Code.

  • AWR Claim means any complaint or claim to a tribunal or court made by or on behalf of the Agency Worker against the Hirer and/or the Employment Business for any breach of the AWR;

  • DIP Facility Claim means a Claim arising under or as a result of the DIP Facility.

  • Secured Claim means a Claim that is secured by a Lien on property in which any of the Debtors’ Estates have an interest or that is subject to setoff under section 553 of the Bankruptcy Code, to the extent of the value of the Claim holder’s interest in such Estate’s interest in such property or to the extent of the amount subject to setoff, as applicable, as determined pursuant to section 506(a) of the Bankruptcy Code or, in the case of setoff, pursuant to section 553 of the Bankruptcy Code.

  • Priority Claims means, collectively, Priority Tax Claims and Other Priority Claims.

  • Unsecured Claim means any Claim that is not a Secured Claim.

  • Subordinated Claim means a Claim of the kind described in sections 726(a)(3) or 726(a)(4) of the Bankruptcy Code and/or Claims subordinated under sections 510(b) or 510(c) of the Bankruptcy Code.

  • First Lien Claims means, collectively, Claims against the Debtors arising under the Prepetition Term Loan Agreement.

  • Other Priority Claims means any Claim, other than an Administrative Claim or a Priority Tax Claim, entitled to priority in right of payment under section 507(a) of the Bankruptcy Code.

  • D&O Claim means any right or claim of any Person against one or more of the Directors and/or Officers howsoever arising on or before the D&O Bar Date, for which the Directors and/or Officers, or any of them, are by statute liable to pay in their capacity as Directors and/or Officers or which are secured by way of any one of the Directors’ Charges;

  • Indemnity Claim has the meaning set forth in Section 8.3.

  • Preference Claim As defined in Section 4.02 hereof.

  • Allowed Secured Claim means an Allowed Claim secured by a lien, security interest or other charge against property in which the Estate has an interest, or which is subject to setoff under Section 553 of the Bankruptcy Code, to the extent of the value, determined in accordance with Section 506(a) of the Bankruptcy Code, of the interest of the holder of such Allowed Secured Claim in the Estate's interest in such property, or to the extent of the amount subject to any setoff, as the case may be.

  • Disallowed Claim means (a) a Claim, or any portion thereof, that has been disallowed by a Final Order or a settlement, (b) a Claim or any portion thereof that is Scheduled at zero or as contingent, disputed, or unliquidated and as to which a proof of claim bar date has been established but no proof of claim has been timely filed or deemed timely filed with the Bankruptcy Court pursuant to either the Bankruptcy Code or any Final Order of the Bankruptcy Court or otherwise deemed timely filed under applicable law, or (c) a Claim or any portion thereof that is not Scheduled and as to which a proof of claim bar date has been established but no proof of claim has been timely filed or deemed timely filed with the Bankruptcy Court pursuant to either the Bankruptcy Code or any Final Order of the Bankruptcy Court or otherwise deemed timely filed under applicable law.

  • Cure Claim means a Claim (unless waived or modified by the applicable counterparty) based upon a Debtor’s defaults under an Executory Contract or an Unexpired Lease assumed by such Debtor under section 365 of the Bankruptcy Code, other than a default that is not required to be cured pursuant to section 365(b)(2) of the Bankruptcy Code.
