R&D Collaboration definition

R&D Collaboration means the activities undertaken by or on behalf of the Parties to Develop Collaboration mRNA Constructs (including [***]) and associated mRNA Products under the R&D Programs pursuant to the R&D Plans.
R&D Collaboration means the research and development cooperation between the Parties as further described in Article 2, including the New Technology Activities and activities in the exercise of the TOTAL R&D Option. * Certain information on this page has been omitted and filed separately with the Securities and Exchange Commission. Confidential treatment has been requested with respect to the omitted portions.
R&D Collaboration is a transaction whereby an R&D Party provides a Borrower with cash for the purpose of a research and development collaboration.

Examples of R&D Collaboration in a sentence

  • Unless (i) terminated pursuant to Section 15 hereof, (ii) extended by Merck as set forth in Section 2.2(b), or (iii) extended on an R&D Program-by-R&D Program basis pursuant to Section 2.8(c), the term of the R&D Collaboration will commence on the Effective Date and continue for a period of three (3) years (the “Initial R&D Term”).

  • If the Joint Steering Committee agrees to accept the terms under which the Non-Collaboration IP and/or Background IP, as applicable, may be used in the R&D Collaboration or the activities of a JV Company related to a JV Product or the Improvement Scope Activities, such Non-Collaboration IP and/or Background IP, as applicable, shall become Included IP.

  • In each such case, such Party shall provide advance written notice to the Joint Steering Committee identifying the nature of such Non-Collaboration IP and/or such Background IP and a proposal for how such Non-Collaboration IP and/or Background IP, as applicable, may be used in the R&D Collaboration, the activities of a JV Company related to a JV Product or the Improvement Scope Activities.

  • Each Party shall keep (and shall cause its Affiliates and sublicensees to keep) complete and accurate records pertaining to their respective R&D Costs (including all FTEs actually working on the R&D Collaboration) in sufficient detail to permit the other Party (the “Auditing Party” to confirm the accuracy of the R&D Costs (including all costs underlying the AMYRIS FTE Rates and Related Allocation as set forth in Exhibit E and analogous costs for TOTAL) charged (in whole or in part) to the Auditing Party.

  • TOTAL and its Affiliates are and shall during the Term continue to be in material compliance with all applicable Legal Requirements to the extent applicable to the R&D Collaboration.

  • All equipment that is not “specific to a Development Project” shall be used for the R&D Collaboration or for the Improvement Scope Activities in priority to any other uses by the Parties.

  • TOTAL shall nominate one of the Seconded Employees to serve as a coordinator between TOTAL and AMYRIS who shall report back to TOTAL on the R&D Collaboration and perform other administrative duties (the “TOTAL Coordinator”).

  • Any external services required by either Party to conduct the R&D Collaboration shall be at AMYRIS’ sole expense unless included in R&D Costs, in which case it shall be shared by the Parties as provided herein.

  • R&D Collaboration on Trial: The Microelectronics and Computer Technology Consortium.

R&D Collaboration shall remain in effect as long as CEPHEID and INNOGENETICS identify product development opportunities of mutual interest, under mutually acceptable terms, they will continue to collaborate to introduce important, innovative products to the diagnostics marketplace.
R&D Collaboration is defined in the Recitals.
R&D Collaboration shall have the meaning set forth in Section 8.1 of this Agreement.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Collaboration Term has the meaning set forth in Section 2.1(h).

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Research Program has the meaning set forth in Section 3.1.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Manufacturing Technology means any and all patents, patent applications, know-how, and all intellectual property rights associated therewith that are owned or controlled by Licensor, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno-associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Licensed Compound means [***].

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Research Term has the meaning set forth in Section 3.2.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Clinical Trials means a controlled study in humans of the safety or efficacy of a Product, and includes, without limitation, such clinical trials as are designed to support expanded labeling or to satisfy the requirements of an Agency in connection with any Product Approval and any other human study used in research and Development of a Product.

  • Licensed Territory means worldwide.

  • Licensed Product means a product or part of a product in the Licensed Field of Use: (A) the making, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent; or (B) which is made with, uses or incorporates any Technology.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Research Use shall have the meaning given in Section 2.2.2 of this Agreement.
