R&D Products definition

R&D Products is defined in Section 6.2(b).
R&D Products. (as defined in the succeeding sentence) on a country-by-country basis for the greater of (i) ***** from the first commercial sale of an R&D Product in such country and (ii) the last to expire of any valid and enforceable CTI Patent which covers the use or sale of such R&D Product in such country. As used in this Section 5.03(b), "R&D Product" means a chemical compound discovered pursuant to the Sponsored Research Program that is subsequently commercialized as a pharmaceutical product by CTI or an assignee.
R&D Products means the products of the Business under research and development set forth in Exhibit M;

Examples of R&D Products in a sentence

  • Notwithstanding the Early Termination of engineering collaboration, if the Parties have commenced manufacturing and selling Gemini/Gemini R&D Products, the Parties will continue their relationship in accordance with Section 20.3.

  • Angiotech’s sole and exclusive remedy under this Agreement for any non-conforming Angiotech-Branded CoStasis Products, Supplied Products and/or R&D Products provided to Angiotech by Orthovita pursuant to Section 6.2(a) or (b) shall be reimbursement of, receipt of credits for, or replacement of such non-conforming Angiotech-Branded CoStasis Products, Supplied Product(s) and/or R&D Products (as applicable), unless otherwise expressly agreed by the Parties in writing.

  • The Joint Committee shall determine *** would be required for Orthovita to supply such requested R&D Product(s) to Angiotech and/or its Affiliates, taking into account (without limitation) the ***.

  • If the Joint Committee determines that *** would be required for Orthovita to supply such requested R&D Product(s) to Angiotech and/or its Affiliates, then Orthovita shall use commercially reasonable efforts to supply such R&D Product(s) to Angiotech and/or its Affiliates, at a supply price equal to ***.

  • Pulse Technologies hereby grants Ikaria, Ikaria Parent Company, and any other subsidiaries of Ikaria Parent Company the right to reference any and all R&D Product Approvals for R&D Products (including [**]), at no cost to Ikaria, whether such R&D Product Approvals are held by Pulse Technologies, an Affiliate of Pulse Technologies, or a Sublicensee of Pulse Technologies, for any and all purposes relating to the Ikaria NO Business.

  • Pulse Technologies shall have the right to reference [**] solely for purposes of pursuing R&D Product Approvals for R&D Products within the R&D Business.

  • Pulse Technologies hereby grants Ikaria, Ikaria Parent Company, and any other subsidiaries of Ikaria Parent Company the right to reference any and all R&D Product Approvals for R&D Products (including the COPD Filings and the PAH Filings), at no cost to Ikaria, whether such R&D Product Approvals are held by Pulse Technologies, an Affiliate of Pulse Technologies, or a Sublicensee of Pulse Technologies, for any and all purposes relating to the Ikaria NO Business.

  • Angiotech shall be solely responsible for all other Regulatory Filings and obtaining all other required Regulatory Approvals for Angiotech-Branded CoStasis Products, Supplied Products and R&D Products.

  • With respect to the rights described in Section 9.1.1, upon a request by either Party, the Parties will discuss and consider in good faith filing separate Patent Rights for claims that cover R&D Products specifically or generically and claims that cover Grant-Back Field Products specifically or generically.

  • Upon expiration or termination of this Agreement for any reason, Orthovita shall discontinue any manufacturing of Products, Supplied Products, R&D Products and Existing Accessories.

Related to R&D Products

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Hemp products means all products made from industrial hemp,

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • processed products means goods placed under a processing procedure which have undergone processing operations;

  • Licensed Product means any method, process, composition, product, service, or component part thereof that would, but for the granting of the rights set forth in this Agreement, infringe a Valid Claim contained in the Licensed Patents.

  • Finished Products means any one or more of the following petroleum oils, or a mixture or combination of these oils, to be used without further processing except blending by mechanical means:

  • the Products means all products and associated documentation to be supplied under this Contract;

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Covered Products means Your Applications, Libraries, Passes, Safari Extensions, Safari Push Notifications, and/or FPS implementations developed under this Agreement.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.

  • Licensed producer means a person or entity licensed to produce medical cannabis.

  • Licensed Services means all functions performed by the Licensed System.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Products means information resources technologies that are, or are related to, EIR.

  • Existing Products Tangible Products and intangible licensed Products which exist prior to the commencement of work under the Contract. Contractor retains the burden of proving that a particular product was existing before commencement of the Project. .

  • Licensed Field means all fields of use.

  • New Product means the Synology-branded hardware product and Synology-branded accessories contained in the original packaging Customer bought from an authorized Synology distributor or reseller. You may see our “New Product” at Product Support Status.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Licensed Compounds means any EZH2 Compound(s) that is:

  • Commercialized shall have corresponding meanings.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.
