R&D Program(s) means the CRF 1 R&D Program and the CRF 2 R&D Program described in Article Five.

R&D Program(s) means the programs for Antigen discovery directed to the Tb Field, the BC Field, the PC Field, the OC Field, the CC Field, the CT Field, the CP Field, the Her2/neu-Mammaglobin Field and the Open Field, respectively, each as set forth in the R&D Program Exhibits.

• At the expiration of the R&D Term, (i) all R&D Programs will become “Discontinued Programs” (ii) all R&D Targets and R&D [***] Targets that are not Locked Targets will become Discontinued Targets and (iii) all Collaboration mRNA Constructs that are not in a Product Candidate Pool will become Discontinued mRNA Constructs.

• The Parties acknowledge and agree that no outcome or success is or can be assured and that failure to achieve desired results will not in and of itself constitute a breach or default of any obligation in this Agreement (notwithstanding the focus of the R&D Programs described above).

• Absent further agreement of the Parties but subject to Section 2.8(c) for an applicable R&D Program, the maximum duration of the R&D Term is four (4) years, and all R&D Programs will terminate upon expiration of the R&D Term.

• Moderna shall conduct the R&D Programs and other activities hereunder in compliance with all applicable Laws.

• Each Party shall keep records associated with Plan Costs incurred through performance of the Technology Collaboration strictly separate from records associated with Plan Costs incurred through performance of the Regeneron Target Evaluation Programs, Intellia Target Evaluation Programs and Product R&D Programs.

• The JSC shall approve the form of any necessary documentation relating to any Plan Cost payments hereunder in connection with the Product R&D Programs and Regeneron Evaluation Target Programs so as to afford the Parties appropriate accounting treatment in relation to any of the transactions or payments contemplated hereunder.

• Subject to the provisions of this Section 8.2, Intellia shall manufacture (or have manufactured) the quantities of Regeneron Products (including its components) that are necessary to perform the pre-clinical activities under the Product R&D Programs, which manufacturing shall be performed in accordance with Applicable Laws and all other requirements as set forth in the Product R&D Plan.

• Each Party shall keep records associated with Plan Costs incurred through performance of the Product R&D Programs and Regeneron Target Evaluation Plan strictly separate from records associated with Plan Costs incurred through performance of the Intellia Target Evaluation Programs and the Technology Collaboration.

More Definitions of R&D Program(s)

R&D Program(s) shall have the meaning set forth in the JDOA.

R&D Program(s) means any and all research and development activities currently being pursued by the Company or in which the Company has an interest of any kind, whether or not such activities or interest relate to the Intellectual Property of the Company or of a third party.

R&D Program(s) means any and all of the research and ------------ development programs jointly conducted by MPS and Pioneer as contemplated by Article 2 of this Agreement to develop BIP Transformation Events in the Target Crops for the purpose of enabling each of MPS and Pioneer to develop and commercialize Insect Resistant BIP Crops pursuant to the licenses granted under Article 4.
