Realization Value definition

Realization Value means the value of the Development Partnership's properties as at the effective time of a Realization Event, as determined by the Development General Partner;
Realization Value means, with respect to a Covered Businesses Liquidity Event, the aggregate value of all consideration received by the Company and the Shareholders in connection with the Covered Businesses Liquidity Event and, with respect to a Company Liquidity Event, the aggregate value of all consideration received by the Shareholders in connection with the Company Liquidity Event that is attributable to the Covered Businesses, in each case plus the sum of all Cumulative Distributions through the date of the Liquidity Event. The Realization Value shall be calculated in United States dollars with any non-dollar amounts converted into U.S. dollars at the prevailing spot rate on the date of the Liquidity Event. Securities received in connection with the Liquidity Event shall be valued at their Fair Market Value as of the date on which the Liquidity Event occurs.
Realization Value means the value of the Partnership’s properties as at the effective time of a Realization Event, as determined by the General Partner, provided that, in respect of a Realization Event that is the issuance of additional LP Units by the Partnership to the Trust following a sale of Trust Units by the Trust, the applicable Realization Value may be determined by reference to the issue price of such Trust Units;

  • Worst Value means, in respect of a ST Valuation Date, the RI Value for the Reference Item(s) with the lowest or equal lowest RI Value for any Reference Item in the Basket in respect of such ST Valuation Date.

  • Knock-in Value means the Underlying Reference Value.
