Regions Common Stock means the $.625 par value common stock of Regions.
Regions Common Stock means the $0.01 par value per share common stock of Regions.
Regions Common Stock means the $0.625 par value common stock of Regions. "Regions Companies" shall mean, collectively, Regions and all Regions Subsidiaries. "Regions Financial Statements" shall mean (i) the consolidated statements of condition (including related notes and schedules, if any) of Regions as of September 30, 1996, and the restated consolidated statements of condition (including related notes and schedules, if any) of Regions as of December 31, 1995 and 1994, the related statements of income, changes in stockholders' equity, and cash flows (including related notes and schedules, if any) for the nine months ended September 30, 1996 and the related restated statements of income, changes in stockholders' equity, and cash flows (including related notes and schedules, if any) for each of the three years ended December 31, 1995, 1994, and 1993, as filed by Regions in SEC Documents and reflecting the acquisition of First National Bancorp accounted for as a pooling of interests and (ii) the consolidated statements of condition of Regions (including related notes and schedules, if any) and related statements of income, changes in stockholders' equity, and cash flows (including related notes and schedules, if any) included in SEC Documents filed with respect to periods ended subsequent to September 30, 1996. Examples of Regions Common Stock in a sentence

  • Based on the foregoing it is our opinion that upon satisfaction of the conditions precedent to consummation of the Merger, or waiver of such conditions capable of being waived, and upon consummation of the Merger, the shares of Regions Common Stock issued pursuant to the Merger will be duly authorized, validly issued and outstanding, fully paid and non-assessable, with no personal liability attaching to the ownership thereof.

  • These cash payments will be treated as having been received as distributions in full payment in exchange for the Regions Common Stock redeemed, as provided in Section 302(a) of the Code.

  • The market value of one share of Regions Common Stock at the Effective Time shall be the closing price of such common stock on the Nasdaq NMS (as reported by The Wall Street Journal or, if not reported thereby, any other authoritative source selected by Regions) on the last trading day preceding the Effective Time.

  • The Regions Common Stock exchanged is reflected as being issued from treasury stock.

  • As soon as reasonably practicable after execution of this Agreement, Regions shall file the Registration Statement with the SEC, and shall use its reasonable efforts to cause the Registration Statement to become effective under the 1933 Act and take any action required to be taken under the applicable state Blue Sky or securities Laws in connection with the issuance of the shares of Regions Common Stock upon consummation of the Merger.

  • The tax basis of the Regions Common Stock received (including fractional shares deemed received and redeemed) by holders of Morgan Common Stock who exchange all of their Morgan Common Stock solely for Regions Common Stock in the Merger will be the same as the tax basis of the Morgan Common Stock surrendered in exchange for the Regions Common Stock.

  • The holding period of the Regions Common Stock received (including fractional shares deemed received and redeemed) by holders who exchange all of their Morgan Common Stock solely for Regions Common Stock in the Merger will be the same as the holding period of the Morgan Common Stock surrendered in exchange therefor, provided that such Morgan Common Stock is held as a capital asset at the Effective Time.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Nasdaq Stockholm means the Regulated Market of Nasdaq Stockholm AB, reg. no. 556420-8394, SE-105 78 Stockholm, Sweden.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Voting Common Stock means the voting common stock, par value $0.01 per share, of the Company.

  • Surviving Corporation Common Stock has the meaning set forth in Section 1.7(a).

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Stock Market means a market, or other place at which, or a facility by means of which—

  • shares of Common Stock means (i) the class of stock designated as the Common Stock of the Company at the date of this Agreement, or (ii) any other class of stock resulting from successive changes or reclassifications of such shares consisting solely of changes in par value, or from par value to no par value, or from no par value to par value. In the event that at any time, as a result of an adjustment made pursuant to paragraph (a) above, the Warrant Holders shall become entitled to purchase any securities of the Company other than shares of Common Stock, thereafter the number of such other securities so purchasable upon exercise of each Warrant and the Exercise Price of such securities shall be subject to adjustment from time to time in a manner and on terms as nearly equivalent as practicable to the provisions with respect to the Warrant Shares contained in paragraphs (a) through (i), inclusive, above, and the provisions of Section 7 and Section 12.2 through 12.5, inclusive, with respect to the Warrant Shares, shall apply on like terms to any such other securities.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Parent Ordinary Shares means the ordinary shares, par value $0.25 per share, of Parent.
