REGIONS COMMON STOCK means the $.625 par value common stock of Regions.

  • Based on the foregoing it is our opinion that upon satisfaction of the conditions precedent to consummation of the Merger, or waiver of such conditions capable of being waived, and upon consummation of the Merger, the shares of Regions Common Stock issued pursuant to the Merger will be duly authorized, validly issued and outstanding, fully paid and non-assessable, with no personal liability attaching to the ownership thereof.

  • The market value of one share of Regions Common Stock at the Effective Time or the date of exercise, as the case may be, shall be the last sale price of such common stock on the Nasdaq/NMS (as reported by The Wall Street Journal or, if not reported thereby, any other authoritative source) on the last trading day preceding the Effective Time, in the case of shares exchanged pursuant to the Merger, and the date of exercise, in the case of options.

  • The shares of Regions Common Stock issuable pursuant to the Merger shall have been approved for listing on the Nasdaq/NMS.

  • Pursuant to the Merger, and as more fully described in the Agreement, at the Effective Time, each share of FNBL Common Stock issued and outstanding at the Effective Time shall be converted into 0.7045 shares of Regions Common Stock, subject to possible adjustment based on the price of Regions Common Stock.

  • No gain or loss will be recognized by holders of Morgan Common Stock who exchange all of their Morgan Common Stock solely for Regions Common Stock pursuant to the Merger (except with respect to any cash received in lieu of a fractional share interest in Regions Common Stock).

  • To estab- lish the higher levels of the mutual intention, the initiator also persuades each member to take on the intention that all members of the potential team have themutual intention, in order to strengthen cooperation from the start.
