• As the parties considered the repayment of the Regions Facility and the resulting contribution claims among the GUC Trust Debtors’ estates, together with the asserted control group liabilities, it became clear that the parties could not agree as to whether certain of the GUC Trust Debtors’ estates would have any assets available for distribution on account of the General Unsecured Claims against them.

• For the avoidance of doubt, neither the Debtors nor the Reorganized Debtors shall owe any amounts to Regions or the lenders under the Regions Facility or have any obligations in respect of the same except as provided for under section 3.3.3 of the Plan.
