A Party (for purposes of this Section 25.2 the “Reimbursing Party”) shall reimburse the other Party (for purposes of this Section 25.2 the “Reimbursed Party”) for property damage to the Reimbursed Party’s facilities to the extent such damage is caused by the acts or omissions of the Reimbursing Party, its agents, contractors or employees.
Sellers, on the one hand, or Buyer on the other hand, as the case may be (the “Reimbursing Party”) shall provide reimbursement for any Tax paid by the other (the “Paying Party”), all or a portion of which is the responsibility of the Reimbursing Party in accordance with the terms of this Agreement.

Unless the Expense Reimbursing Party obtains the prior written consent of the Expense Incurring Party, such accounting firms must be selected from among the four largest U.S. accounting firms.
