Relevant Conversion Ratio definition

Relevant Conversion Ratio means the result (without rounding and including fractions of Settlement Shares) of the division of (a) the aggregate Principal Amount of Bonds delivered by a Bondholder for conversion with a single Conversion Notice by (b) the Conversion Price in effect on the relevant Conversion Date (subject to any subsequent Conversion Price adjustment in accordance with § 10). The Relevant Conversion Ratio will be determined by the Calculation Agent in accordance with § 8(b)(iii).
Relevant Conversion Ratio means the result (without rounding and including fractions of Settlement Shares) of the division of (a) the Aggregate Conversion Principal Amount by (b) the Conversion Price in effect on the relevant Conversion Date (subject to any subsequent Conversion Price adjustment in accordance with § 10 or § 11(c)). The Relevant Conversion Ratio will be determined by the Calculation Agent.
Relevant Conversion Ratio or “RelCR” means the arithmetic average (rounded to five decimal places with 0.000005 being rounded upwards) of the Daily Relevant Conversion Ratios on each Trading Day during the relevant Calculation Period (subject to adjustment until the Settlement Date as set out in “Conversion Ratio Adjustments”), all as determined by the Calculation Agent.

Examples of Relevant Conversion Ratio in a sentence

  • In the event of any such excess or shortfall, the Calculation Agent will determine the Relevant Conversion Ratio on the basis of the lower of (A) such total number of Settlement Shares which corresponds to the aggregate Principal Amount of Bonds set forth in the Conversion Notice, or (B) such total number of Settlement Shares which corresponds to the aggregate Principal Amount of Bonds in fact delivered for conversion.

Relevant Conversion Ratio and RelCR mean, in respect of a Bond, the arithmetic average of the 20 Daily Relevant Conversion Ratios (rounded to five decimal places, with 0.000005 being rounded upwards) calculated by the Calculation Agent on the basis of the Volume Weighted Average Price of an Ordinary Share on each Trading Day during the relevant Calculation Period.

  • If satisfactory, full approval will be given if not fully compliant, an interim certificate will be granted with a period of time in which to make adjustments towards full compliance.

  • Unless previously converted or redeemed or purchased and cancelled in accordance with these Conditions prior to the day which, on such day, is scheduled to be the 25th Trading Day prior to the Maturity Date, each Bond will, subject to Conditions 7.7, 7.8 and 9, be mandatorily converted on the Maturity Date into such number of Ordinary Shares as is equal to the Relevant Conversion Ratio, which Ordinary Shares shall be delivered by the Guarantor.
