Remedial Proposal definition

Remedial Proposal has the meaning given under Clause 15.3 of Schedule 2;

  • Such Remedial Proposal must be agreed with the non-breaching Party (such agreement not to be unreasonably withheld or delayed) and must be implemented by the Party in breach in accordance with the timescales referred to in the agreed Remedial Proposal.

  • Either Party may terminate this Contract by issuing a Termination Notice to the other Party if such other Party commits a material breach of any of the terms of this Contract which is: not capable of remedy; or in the case of a breach capable of remedy, which is not remedied in accordance with a Remedial Proposal.
