In addition, by the later of: (i) six (6) months after the Commercial Operations Date, and (ii) six (6) months after CORSIA goes into effect Seller shall take such actions as are necessary to cause any Renewable ATJ delivered under this Agreement to be certified as an eligible fuel for participation in CORSIA.
Gevo further warrants such Renewable ATJ shall be transported to the Receipt Point free from contamination or other detrimental impacts.
Additionally, Gevo further represents and warrants to Kolmar that the Renewable ATJ shall be handled, transported and shipped in transportation containers that are duly stripped, cleaned, and shall not contain any prior cargoes that may contaminate the Renewable ATJ during such shipment in accordance with Section 3.18(h) from the Facility to Kolmar’s Receipt Point in Gevo’s owned, leased or contracted transportation containers.
Kolmar or its representative shall have the right to perform a (technical) survey, audit or inspection of Gevo’s manual and operating procedures and Gevo’s records on quality control and checks of the Renewable ATJ.
If Seller has not caused the Renewable ATJ to be certified as an eligible fuel for participation in CORSIA within the time frame set forth in the preceding sentence, Seller shall have an additional six (6) month period to cure such failure.
During the Extension Term, if applicable, the Target Annual Contract Quantity shall be an amount no less than [**] of Renewable ATJ per year as mutually agreed by the Parties at a price to be mutually agreed by the Parties.
Notwithstanding the foregoing, if Seller elects to offer for sale hereunder to Buyer quantities of Renewable ATJ in excess of the Target Annual Contract Quantity, such Renewable ATJ shall be, after mutual agreement, on an As Available Basis only, and the price applicable to all such quantities shall be as set forth in Section 8.1.
The Production Estimate shall detail estimated production of Renewable ATJ on a monthly basis and reflect any planned outages or downtime that Seller anticipates for any of the Production Facilities.
Other than with respect to RINs, which are addressed in Section 3.8 below, Seller shall retain, own and be entitled to [**] of the economic value of, any and all Environmental Attributes associated with the Renewable ATJ purchased by Buyer under this Agreement.
Seller represents and warrants that it has good and marketable title to the Renewable ATJ at the time of delivery at the Delivery Point.
